The Series D Notes shall be issued in definitive fully registered form.
The form of the Trustee's Certificate of Authentication for the Series D Notes shall be in substantially the form set forth in Exhibit B hereto.
The Series D Notes have a par value call date of May 23, 2024 (the “First Call Date”) and may be redeemed in whole or in part on each date falling on the fifth anniversary thereafter (the “Reset Period”).
In the event the Series D Notes are not redeemed on or before the Step-up Date, interest will be payable annually, including the Step-up Date but excluding the stated maturity, in respect of each Reset Period between the Step-up Date and the stated maturity, the relevant Euro 5 Year Swap Rate plus the Margin plus 1.00% per year.
