Seller Related Person definition

Seller Related Person has the meaning specified in Section 10.01(f).

Seller Related Person means each member of the Seller's Group and any of their respective directors, officers or employees.

Seller Related Person means, where either individually or collectively:

• No Seller Related Person has owned or presently owns an equity interest or any other financial or profit interest in a person that has (i) had business dealings with Seller, or (ii) engaged in competition with Seller.

• No officer, director or employee of Seller, nor any spouse or child of any of them or any affiliate of, or any person associated with, any of them ("Seller Related Person"), has any interest in any property or asset used in or pertaining to the business of Seller.

• No Seller Related Person is a party to any contract with, or has any claim or right against, Seller.

• None of Seller or any Seller Related Person possesses, directly or indirectly, any financial interest in or is a director, officer, manager or employee of any Person which is a material client, supplier, customer, lessor, lessee, financial source or competitor of the Business or has any other material commercial or business relationship with the Business.

• No Seller Related Person or, to the Company’s Knowledge, Former Seller Related Person, owns any real or personal property right, tangible or intangible which is used in the business of any Company Party.

More Definitions of Seller Related Person

Seller Related Person means a Related Person of Seller and any Permitted Assignee as defined in the Registration Rights Agreement, provided, that no ACFP Company shall be deemed to be a Seller Related Person.

Seller Related Person means, collectively, (a) an Affiliate of Seller, (b) any Person that, directly or indirectly, owns more than fifteen percent (15%) of any class of capital stock or other equity interest of Seller or its Subsidiaries, (c) any officer or director of Seller or its Subsidiaries, or (d) any immediate family members of the individuals described in clause (c).

Seller Related Person means any Affiliate of a Seller, any director or officer of Seller or any Affiliate, Xx Xxxxxxxx, any relative (Angehörige within the meaning of Section 15 of the German Fiscal Code (Abgabenordnung)) of any of the afore-mentioned individual persons or any of their Affiliates.

Seller Related Person has the meaning set out in Clause 6.2.3.

Seller Related Person means any Seller owning at least ten percent (10%) of the outstanding Class A Units, any current officer, or director, or any member of any such individual’s immediate family.
