Local Authority Associated Person definition

Local Authority Associated Person means any person associated (within the meaning given in section 69(5) of the Local Government and Housing Act 1989) with any local authority by which the Academy Trust is influenced;

Local Authority Associated Person means any person associated with any local authority within the meaning given in section 69 of the Local Government and Housing Act 1989, including the Council and also theCouncil Nominated Director and their proxies,“Member” and “Membership”refer to the members of the Charity for the purposes of (and as definedby) the Act and these Articles and their membership of the Charity,“Memorandum”the Charity’s memorandum ofassociation,“Participate”in relation to a Directors’ meeting,has the meaning given in Article 13,“Regulated Company”means a company deemed to be regulated for the purposes of the Local Government and Housing Act 1989 and the Local Authorities (Companies) Order 1995 and anysubsequent amendments extension or re-enactments thereto,“Secretary”the secretary of the Charity (if any),“Subsidiary Company”means any company in which the Charity holdsa) more than 50% of the shares, orb) more than 50% of the voting rights attached to the shares, orc) the right to appoint one or more of the directors,“Taxable Trading”means carrying on a trade or business in such manner or on such a scale that some or all of the profits are subjectto corporation tax,“Transfer”includes every description of disposition, payment, release or distribution, and the creation orextinction of an estate or interest in, or right over, any property,

Local Authority Associated Person means a local authority or any other person or entity which is under the control of or subject to the influence of a local authority as those terms are used for the purposes of Sections 67-69 Local Government and Housing Act 1989;

Examples of Local Authority Associated Person in a sentence

• No person who is a Local Authority Associated Person may be appointed or elected as a Trustee if, once the appointment or election had taken effect, the number of Trustees who are Local Authority Associated Persons would represent 20% or more of the total number of Trustees.

• No person who is a Local Authority Associated Person may be appointed as a Governor if, once the appointment had taken effect, the number of Governors who are Local Authority Associated Persons would represent 20% or more of the total number of Governors.

• No person who is a Local Authority Associated Person is eligible to be appointed to the office of Governor unless his appointment to such office is authorised by the local authority to which he is associated.

• If at the time of either his becoming a Member of the Academy Trust or his first appointment to office as a Governor any Member or Governor was not a Local Authority Associated Person but later becomes so during his membership or tenure as a Governor he shall be deemed to have immediately resigned his membership and/or resigned from his office as a Governor as the case may be.

• No person who is a Local Authority Associated Person may be appointed as a Director if, once the appointment had taken effect, the number of Directors who are Local Authority Associated Persons would represent 20% or more of the total number of Directors.

• If at the time of either his becoming a Member of the Company or his first appointment to office as a Director any Member or Director was not a Local Authority Associated Person but later becomes so during his membership or tenure as a Director he shall be deemed to have immediately resigned his membership and/or resigned from his office as a Director as the case may be.

• No person who is a Local Authority Associated Person is eligible to be appointed to the office of Director unless his appointment to such office is authorised by the local authority to which he is associated.

• No person who is a Local Authority Associated Person is eligible to be appointed to the office of Governor unless his appointment to such office is authorised by the local authority to which he is associated.139.
