Seller Facilities definition

Seller Facilities has the meaning set forth in Section 4.14(d).

Seller Facilities means the "Parcel A Facilities" under the Astoria Declaration of Easements, together with the respective "Seller Facilities" under each of the Gowanus and Narrows Declaration of Easements Agreements.

Seller Facilities means those facilities of the Seller which are described in the Easements Agreement.

Examples of Seller Facilities in a sentence

• If (i) Buyer determines in connection with any Assessment that a material vulnerability exists in the Seller Facilities or the Seller Systems or that Seller has otherwise failed to perform any of its obligations under this Supplement; and (ii) Buyer notifies Seller in writing of such vulnerability or Seller's breach of this Supplement, then Seller shall promptly develop a corrective action plan.

• All costs incurred from the Seller Facilities up to the Delivery Point (the “ Delivery and Blending Costs”) shall be for the account of Seller.

• Until such time as Seller has sold out the capacity of Seller Facilities, Seller may, in Seller’s sole discretion, offer to Buyer the option to purchase additional gallons of Fuel in excess of the Minimum Annual Contract Quantity from Seller on the same terms and conditions as set forth in the Agreement.

• Without limiting Seller’s obligation to procure annual information security audits of the Seller Facilities and Seller System set forth in Section VI (b), Buyer may engage an independent third party to conduct an information security audit of the Seller Facilities and the Seller System from time to time at Buyer's sole cost and expense (subject to Seller's obligation to reimburse Buyer in the event a material vulnerability is discovered in such audit).

More Definitions of Seller Facilities

Seller Facilities shall have the meaning given to such term in the Declaration of Easements Agreement.

Seller Facilities means all Facilities now or hereafter owned, operated or leased by Seller Parent or any subsidiary or affiliate.

Seller Facilities means those facilities owned or operated by Central Xxxxxx which are located on that portion of the Buyer Real Estate subject to the easement and right-of-way granted to Central Xxxxxx by Buyer under the Easement Agreement.

Seller Facilities means any real property, leaseholds or other real estate interests currently or formerly owned or operated by the Seller and any buildings, plants, structures, fixtures or equipment currently or formerly owned or operated by the Seller.

Seller Facilities has the meaning set forth in Section 2.1(h).

Seller Facilities means the three parcels of real property leased by Seller pursuant to the Leases, which real property constitutes the principal location used by Seller in the conduct of the Business (the “Seller Principal Facility”) and the two satellite locations used by Seller in the conduct of the Business (the “Seller Satellite Facilities”).

Seller Facilities means those facilities of the Seller which are described on Schedule 2.2(b)(i) attached hereto (excluding the Ash Haul Contractor's Building and Equipment).
