Within five business days after the date of the Closing, Parent will deliver to RMT Partner an accurate and comprehensive schedule of all issue fees, maintenance fees, taxes, or other actions due or scheduled within 90 days after the date of the Closing with respect to any Parent Scheduled Patents.
The Patent Rights License shall commence on the Effective Date of this Agreement and shall terminate, unless otherwise terminated as provided herein, upon the earlier of (i) the date that Licensee ceases to use all of the Patent Rights, (ii) the conclusion of the Management Term, or (iii) expiration of the last to expire of any of the Scheduled Patents issued.
Licensor shall have full control over prosecution and maintenance of the Applications and Scheduled Patents.
For avoidance of doubt, Buyer and its representatives shall be solely responsible for all costs, including attorney fees, paralegal fees, administrative fees, and filing fees, as well as costs for preparing and translating any recordation (or other) documents, arising after the Agreement Date, associated with the perfection of rights, title, and interest in and to the Scheduled Patents, set forth in Exhibit B, in any jurisdiction.
Subject to Section 5.2.4, as between the Parties (and their respective Affiliates), Medtronic shall have the first right, but not the obligation, in all countries in the world, to prepare, file, prosecute and maintain the Licensed Patents that are not Scheduled Patents and shall be responsible for related interference, re-issuance, re-examination and opposition proceedings.
