Product Patents definition
Product Patents means any and all United States patents and patent applications, all divisionals, continuations, continuations-in-part, re-issues, extensions or foreign counterparts thereof, now or hereafter owned or controlled ("controlled" being used in the sense of having the right to grant licenses thereunder) by PERIMMUNE, covering the manufacture, use, sale, offer for sale and/or importation of the Product, including but not limited to, the U.S. Patent No. 5,407,912 attached hereto as Exhibit B.
Product Patents means any Patent Controlled or owned by Quoin in the Territory that, absent the license in Section 2.1, would be infringed by the importation, sale, or use of the Product in the Territory by a third party.
Product Patents means any Patents in the Territory Controlled by GCLC or any GCLC Affiliate as of the Effective Date or during the Term that relate specifically to a Product or its manufacture or use (and are not otherwise included in GCLC Core Technology). Exhibit 1.12 sets forth the Product Patents existing on the Effective Date. Exhibit 1.12 may be updated from time-to-time during the Term upon the mutual written agreement of the Parties. Product Patents excludes any Additional Joint Patents.

Borrower and its Subsidiaries have not received any written notice that there is any, and to their knowledge there is no, Person who is or claims to be an inventor under any of the Product Patents who is not a named inventor thereof except, in the case of Products other than Product (Core) and Product (Material), where the failure to name the correct inventor would not reasonably be likely to result in a Material Adverse Effect.
More Definitions of Product Patents
Product Patents means any and all Patents owned or controlled by Seller, as of the Agreement Date, in whole or in part, that claim or cover a Product, or the manufacture, use or sale thereof. Product Patents includes those listed in Exhibit C of the L&O Agreement, Exhibit A of this Agreement, and all Patents claiming the subject matter disclosed or claimed therein and Patents issuing or otherwise arising from, or claiming priority to or common priority with, the foregoing.
Product Patents means the Annovera Patents, Bijuva Patents and Imvexxy Patents.
Product Patents means all Patents listed on Schedule 1.1(xx) attached hereto;

Product Patents means all patents owned by or licensed to Galephar, and for which Cipher or any of its Affiliates has a license from Galephar, (i) which have issued as of the Effective Date or (ii) which issue at any time from applications pending as of the Effective Date, or from applications subsequently filed during the Term of this Agreement, which (in the case of both (i) and (ii)) claim inventions necessary or useful for the Manufacture, use, import or Marketing of the Product, including any continuation, division, continuation-in-part, and any provisional applications, and which patents have not expired or been held invalid or unenforceable by a court of competent jurisdiction in a final, non-appealable decision, including all substitutions, extensions, registrations, confirmations, re-examinations, reissues or renewals of such patents. Schedule B lists, as of the Effective Date, all such Patents that have issued and pending applications and Schedule B shall be amended from time to time to include patents or applications owned by or licensed to Galephar and licensed to Cipher or one or more of its Affiliates to the extent they claim inventions necessary or useful for Manufacturing, use, import, or Marketing of the Product within the Territory or an amendment to any Product Patents.
Product Patents means any and all Patent Rights that are Controlled by Seller and/or any of its Affiliates and that relate primarily to the Product and/or the Product Business, as identified on Schedule 1.1(c), and including, without limitation, the Genentech Patents and the Snitman Patents.
