Rentable Area of Premises definition

Rentable Area of Premises on Page 1 of the Lease shall be deleted in their entirety and replaced with the following:

Rentable Area of Premises. 12,979 sq. ft.” As of the Second Expansion Premises Commencement Date, Exhibit A to the Lease shall be amended to include the Second Expansion Premises as shown on Exhibit A attached to this Third Amendment.

Rentable Area of Premises. 11,301 sq. ft.” As of the Expansion Premises Commencement Date, Exhibit A to the Lease shall be amended to include the Expansion Premises as shown on Exhibit A attached to this First Amendment.

• Effective as of the October 21, 2009 (the “Additional Premises Commencement Date”), the Rentable Area of the Premises (as set forth in Section 2.2 of the Lease) is hereby increased by one thousand one hundred forty-one (1,141) rentable square feet, resulting in a new total Rentable Area of Premises of ten thousand four hundred three (10,403) rentable square feet.

• From and after the Storage Premises Commencement Date, the term “Premises” as used in the Amended Lease shall mean the Existing Premises plus the Storage Premises and, therefore, the Rentable Area of Premises (as set forth in Section 2.2 of the Original Lease) shall be increased to thirteen thousand seven hundred eight (13,708) square feet of Rentable Area.

• Effective as of the Expansion Option Effective Date, the Rentable Area of Premises (as set forth in Section 2.2 of the Lease) shall be eleven thousand seven hundred twenty-seven (11,727) rentable square feet.

Rentable Area of Premises on Page 1 of the Lease is deleted in its entirety and replaced with the following: “Rentable Area of Premises: 2,421 sq. ft.”

Rentable Area of Premises and “Rentable Area of Project,” and (ii) appropriately adjust the amount set forth in the definition of “Tenant’s Share of Operating Expenses of Building” and “Building’s Share of Operating Expenses of Project” which were calculated based on the rentable square footages of the Premises, Building and Project originally set forth on page 1. Notwithstanding the foregoing, if the actual rentable square footage of the Premises (x) exceeds 98,000 rentable square feet, the rentable square footage for the purposes of Base Rent shall be stipulated to be 98,000 rentable square feet, and (y) exceeds 100,000 rentable square feet, the rentable square footage for the purposes of calculating Tenant’s Share of Operating Expenses of Building shall be stipulated to be 100,000 rentable square feet. Following the measurement provided in this paragraph, the rentable area of the Premises shall not be subject to further re-measurement by either party. If Landlord has a reasonable basis for doing so, Landlord may equitably increase Tenant’s Share for any item of expense or cost reimbursable by Tenant that relates to a repair, replacement, or service that benefits only the Premises or only a portion of the Project that includes the Premises or that varies with occupancy or use. Base Rent, Tenant’s Share of Operating Expenses and all other amounts payable by Tenant to Landlord hereunder are collectively referred to herein as “Rent.”

Rentable Area of Premises on Page 1 of the Lease shall be deleted in their entirety and replaced with the following: “Premises: That portion of the Building containing approximately 11,301 rentable square feet, consisting of (i) approximately 8,138 rentable square feet (the “Original Premises”) in the west wing of the Building (“West Building”), and (ii) approximately 3,163 rentable square feet (the “Expansion Premises”) in the east wing of the Building (“East Building”), all as determined by Landlord, as shown on Exhibit A.”

Rentable Area of Premises and “Tenant’s Share” shall be adjusted to account for the expiration of the Lease with respect to the Original Premises. Otherwise, on the day immediately following the Expansion Premises Expiration Date, the definitions of “Premises,” “Rentable Area of Premises” and “Tenant’s Share” shall be adjusted to account for the expiration of the Lease with respect to the Expansion Premises.

Rentable Area of Premises on page 1 of this Lease, then, promptly after such recalculation, this Lease shall be amended so as to (i) reflect the actual rentable square footage as set forth in the Notice of Re-determination of RSF in the definitions of “Premises” and “Rentable Area of Premises” and “Rentable Area of Project”, and (ii) appropriately adjust the amounts set forth in the definitions of “Building’s Share of Operating Expenses of Project” which were calculated based on the square footages set forth on page 1 of this Lease.
