TOMIA shall Invoice for the Initial Maintenance Term or the Renewal Maintenance Term without the need for further approval (such as PO) from Customer.
During the Term, Initial Maintenance Term or a Renewal Maintenance Term, TOMIA may increase recurring fees for a Software Component or for Services to reflect increased functionality, or may increase the hourly rates for Professional Services, upon sixty (60) days prior written notice to Customer; provided, however, that any such increase shall occur no more than once per 12-month period and shall be no more than ten (10) percent over the previous 12-month period.
The Initial Maintenance Term shall automatically renew for the same duration as the Initial Maintenance Term (“Renewal Maintenance Term”) unless either Party gives written notice ninety (90) days prior to the end of the Initial Maintenance Term (or thereafter any Renewal Maintenance Term) of its intention to terminate.
Thereafter, the Initial Maintenance Term shall automatically renew, at the then-current and then-applicable annual maintenance fee, for subsequent one-year periods (the “Renewal Maintenance Term”) unless one party gives the other written notice of non- renewal at least sixty (60) days before the end of the Initial Maintenance Term or the then-current Renewal Maintenance Term.
