Rail Transportation Business definition

Rail Transportation Business means the business of transporting biosolids, incinerator ash and/or soils by intermodal rail for landfilling or for land application or beneficial reuse. The Purchaser shall allow the Company the option to provide Rail Transportation Business services to Synagro and its Subsidiaries (other than any Acquired Business) with respect to transportation originating east of the Mississippi River on the same terms as proposed to be provided by a third party, unless otherwise precluded by contract, Governmental Authority or lack of Company capacity. The Acquired Business shall be entitled to replace railcars no longer in use with similar railcars but shall be precluded from increasing the aggregate number of railcars owned by the Acquired Business by more than 10% of the number owned at the time Purchaser acquires the Acquired Business. An Acquired Business shall be able to bid on new contracts utilizing its railcars to replace lost contracts, provided that those contracts are for services consistent with the business of such Acquired Business. There shall be no restrictions on the Acquired Business with respect to any business not utilizing its railcars.
Rail Transportation Business means that business operated by Rail Company at the Airport for the commercial transportation by rail of persons and baggage from Miami, Florida to Orlando, Florida, as such business may be expanded to other locations pursuant to the Rail Line Easement Agreement.

  • If the Threshold Average Income is less than the Base Year Income, the Authority will hire a consultant reasonably acceptable to Rail Company to determine whether the reduction in Income from Rental Car Operations was caused by the Rail Company Rail Transportation Business taking into account any Outside Influences.

  • In the case of damage described herein, the rentals payable hereunder with respect to Rail Company’s affected Premises shall be paid up to the time of such damage and shall thereafter be abated equitably in proportion as the part of the area rendered untenable bears to total Premises until such time as the damaged Premises are again tenantable or comparable alternative facilities are made available to Rail Company and Rail Company can operate the Rail Transportation Business as contemplated hereunder.

  • Rail Company’s obligation to pay rent shall commence upon the earlier of (i) commencement of Rail Company’s revenue-generating Rail Transportation Business at the Airport (“Revenue Operations”) following completion of the Improvements to be completed by Rail Company pursuant to Section 6.02 hereof, or (ii) the Authority’s Substantial Completion of the South Airport APM Complex (the “Rent Commencement Date”).

  • No abatement of rentals shall accrue to Rail Company so long as Premises remain tenantable and Rail Company can operate the Rail Transportation Business as contemplated hereunder.

  • Rail Company shall only operate the Rail Transportation Business while on Airport property and shall not operate any concessions on Airport property except as otherwise permitted under this Agreement, the Premises Lease and Use Agreement or the Vehicle Maintenance Facility Ground Lease Agreement.

  • Air Transportation Business means the carriage by aircraft of persons or property as a common carrier for compensation or hire, or carriage of cargo or mail by aircraft, in air commerce, as defined in 49 U.S.C. § 40102, as amended.
