Provider Marks definition

Provider Marks means the Providers’ logos, product and service names, trademarks, service marks, and domain names.
Provider Marks will mean the trademarks, service marks, trade names, copyrights, logos, slogans and other identifying symbols and indicia of Provider in their entirety and exactly as provided by Provider to PSTA for the purposes of this Agreement only. Notwithstanding anything to the contrary herein, the Provider Marks will remain the property of Provider. Provider shall, at its sole cost and expense, provide to PSTA any digital or print media using the Provider Marks as may be required by PSTA in connection with the Activities as mutually agreed upon by the parties, which agreement shall not be unreasonably withheld, conditioned or delayed by either party.
Provider Marks means your, your affiliates’, and your licensors’ trademarks and other marks provided to Microchip from time to time.

  • First Trust hereby grants to Sub-licensees a non-exclusive and non-transferable sublicense to use the Index Provider Enhanced Indexes and the Index Provider Marks in connection with the issuance, distribution, marketing and/or promotion of the Products.

  • You will defend any Microchip Indemnified Party and any Clients from and against any and all Claims alleging that any Software (or any Purchase, use, sale, offer for sale, or importation thereof), any Provider Marks, or any Provider Materials infringe, violate, or misappropriate any third party intellectual property right.

  • Client hereby grants to Synacor a nonexclusive, worldwide and royalty-free right and license to use, reproduce, modify, distribute, perform and display the Client Materials, the Client Marks (as such term is defined below), and the Provider Marks for any Client Provider provided to Synacor hereunder, solely in connection with the Services and in a form solely as approved by Client (such approval not to be unreasonably withheld or delayed).

  • You hereby grant to Microchip a nonexclusive, non-transferable (except to Microchip Affiliates), non-sublicensable, royalty free, worldwide license to use, reproduce and publically display the Provider Marks for the purposes and in the manner described in this paragraph.

  • Unless you provide your prior written approval of another use, Microchip and Microchip Affiliates may use Provider Marks only for purposes of identifying the Software, which will be limited to displaying Provider Marks on: (i) Microchip’s or Microchip Affiliates’ websites (or any successor URL of Microchip or Microchip Affiliates), (ii) the eStore, or (iii) any printed or electronic marketing materials.

  • Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

  • Licensed Marks means the Localized Game Marks and such other trademarks expressly authorized in writing by Shengqu to be used by the Licensees.

  • Marks means any and all trademarks, service marks, trade names, taglines, company names, and logos, including unregistered and common-law rights in the foregoing, and rights under registrations of and applications to register the foregoing.

  • Trade Dress means the current trade dress of a Product, including, but not limited to, Product packaging and the lettering of the Product trade name or brand name.

  • Provider agreement means the signed, written, contractual agreement between the department and the provider of services or goods.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Service mark means a word, name, symbol, or device or any combination of a word, name, symbol, or device, used by a person to identify services and to distinguish the services of that person, including a unique service, from the services of others, and to indicate the source of the services, even if that source is unknown. Titles, character names used by a person, and other distinctive features of radio or television programs may be registered as service marks notwithstanding that they, or the programs, may advertise the goods of a sponsor.

  • Product Copyrights means rights to all original works of authorship of any kind directly related to a Divestiture Product and any registrations and applications for registrations thereof within the Geographic Territory, including, but not limited to, the following: all such rights with respect to all promotional materials for healthcare providers, all promotional materials for patients, and educational materials for the sales force; copyrights in all preclinical, clinical and process development data and reports relating to the research and Development of that Product or of any materials used in the research, Development, manufacture, marketing or sale of that Product, including all copyrights in raw data relating to Clinical Trials of that Product, all case report forms relating thereto and all statistical programs developed (or modified in a manner material to the use or function thereof (other than through user references)) to analyze clinical data, all market research data, market intelligence reports and statistical programs (if any) used for marketing and sales research; all copyrights in customer information, promotional and marketing materials, that Product’s sales forecasting models, medical education materials, sales training materials, and advertising and display materials; all records relating to employees of a Respondent who accept employment with an Acquirer (excluding any personnel records the transfer of which is prohibited by applicable Law); all copyrights in records, including customer lists, sales force call activity reports, vendor lists, sales data, reimbursement data, speaker lists, manufacturing records, manufacturing processes, and supplier lists; all copyrights in data contained in laboratory notebooks relating to that Product or relating to its biology; all copyrights in adverse experience reports and files related thereto (including source documentation) and all copyrights in periodic adverse experience reports and all data contained in electronic databases relating to adverse experience reports and periodic adverse experience reports; all copyrights in analytical and quality control data; and all correspondence with the FDA or any other Agency.

  • Internet Domain Names means all rights, title and interests (and all related IP Ancillary Rights) arising under any Requirement of Law in or relating to Internet domain names.

  • Proprietary Marks shall have the meaning as set forth in Section 24.01.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Provider panel means those providers with which a carrier contracts to provide health care services

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Brand Features means the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of each party, respectively, as secured by such party from time to time.
