Outstanding Company Stock Number definition

Outstanding Company Stock Number means the number of shares of Company Common Stock outstanding on the Closing Date, after giving effect to all stock option exercises contemplated hereby. The term "Aggregate Cash Number" shall mean the lesser of (I) $30,000,000, and (II) the amount of cash distributed to Parent from the Trust Fund at the Closing (after payment to those stockholders of Parent who elect to have their shares converted to cash in accordance with Parent's Charter Documents (as defined in Section 2.1(a)), less the sum of all expenses reasonably incurred by Parent in connection with the transaction contemplated hereby, and less the sum of $1,000,000 which shall be retained by Parent for working capital requirements.
Outstanding Company Stock Number means the number of shares of Company Common Stock outstanding immediately prior to the Effective Time, after giving effect to all exchanges of the Company’s outstanding shares of preferred stock, par value $0.001 (‘‘Company Preferred Stock’’) and exercises or conversions of other derivative securities into shares of Company Common Stock pursuant to Section 1.15 and including any shares subject to appraisal rights in accordance with Section 1.17. The ‘‘Stock Reduction Number’’ shall mean that number of shares of Parent Common Stock equal to one-fifth of the difference between the dollar amount of all accounts payable of the Company and the dollar amount of accounts payable of the Company due within 30 days, all determined as of the close of business on the last business day of the month preceding the month in which the Closing Date occurs. In no event shall the Stock Reduction Number exceed 300,000 shares.

Outstanding Company Stock Number means the number of shares of Company Common Stock plus the number of shares of Company Preferred Stock, in each case as outstanding on the Closing Date, after giving effect to all stock option and warrant exercises contemplated hereby and including any shares subject to appraisal rights in accordance with Section 1.12.
