Class B Common Shares definition

Class B Common Shares means shares of the Company's Common Stock, Class B, par value $0.0005.
Class B Common Shares means the shares of Class B Common Stock or any other shares of capital stock of the Company into which the Class B Common Stock shall be reclassified or changed.
Class B Common Shares means the Class B Common Shares of the Company representing limited liability company interests in the Company, having such rights associated with such Class B Common Shares as set forth in this Agreement and any equity securities issued or issuable in exchange for or with respect to such Class B Common Shares (i) by way of a dividend, split or combination of shares or (ii) in connection with a reclassification, recapitalization, merger, consolidation or other reorganization.

Examples of Class B Common Shares in a sentence

  • The Class A Convertible Preference Shares, Class A-1 Convertible Preference Shares, Class B Convertible Preference Shares and Class B-1 Convertible Preference Shares that are subject to the Drag Along Notice shall convert into Class B Common Shares (at the then-applicable Conversion Rate) immediately prior to the consummation of such Approved Sale.

  • Each Required Member shall thereafter be obligated to sell all of their Common Units and corresponding Class B Common Shares on the terms set forth in the Drag-Along Notice.

Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.
Class B Common Shares means the shares of Class B Common Stock, par value $0.08 per share, of the Company, having such rights associated with such Class B Common Shares as set forth in the governing documents of the Company, including the Company’s Bye-laws, and any Equity Securities issued or issuable in exchange for or with respect to such Class B Common Shares (i) by way of dividend, split, subdivision, conversion or consolidation of shares or (ii) in connection with a reclassification, recapitalization, merger, consolidation, going private, tender offer, amalgamation, change of control, other reorganization or similar transaction. Notwithstanding the foregoing, for purposes of this Agreement, the term “Class B Common Shares” shall never include the Class A Common Shares into which they are convertible pursuant to the Company’s Bye-laws.
Class B Common Shares means the Class B common shares in the authorized share structure of JMB with the special rights and restrictions set out in Article 27 of the Original Articles;
