Class B Common Shares definition

Class B Common Shares means shares of Class B Common Stock.

Class B Common Shares means the Class B common shares, par value $0.000079365 per share, of the Company and any other security into which such Class B Common Shares may hereafter be converted or changed.

Class B Common Shares means the Class B Common Shares of the Company representing limited liability company interests in the Company, having such rights associated with such Class B Common Shares as set forth in this Agreement and any equity securities issued or issuable in exchange for or with respect to such Class B Common Shares (i) by way of a dividend, split or combination of shares or (ii) in connection with a reclassification, recapitalization, merger, consolidation or other reorganization.

• The Rights will not be tradable separately from the Warrants nor the Class B Common Shares.

• The undersigned (the “Subscriber”) hereby subscribes for and agrees to purchase the following non-voting Class B Common Shares of the Issuer (the “Shares”) for the total subscription price set out below and tenders herewith in the form of a cheque or bank draft payable to the Issuer, such Shares to be issued on December 1, 2018 (the “Closing Date”).

• The undersigned also acknowledges that this authorization to enroll Class B Common Shares will remain in effect until the undersigned notifies the Corporation otherwise in writing in accordance with the applicable provisions of the said offering memorandum.

• Nothing herein contained or done pursuant hereto shall obligate the Holder to purchase or pay for or the Corporation to issue any Class B Common Shares except those Class B Common Shares in respect of which the Holder shall have exercised its right to purchase hereunder in the manner provided herein.

• Notwithstanding any adjustments provided for in Section 11 or otherwise, the Corporation shall not be required upon the exercise of any Warrants, to issue fractional Class B Common Shares in satisfaction of its obligations hereunder and no amount shall be payable by the Corporation in respect of any such fraction of a Class B Common Share.

Class B Common Shares means the shares of Class B Common Stock, par value $0.08 per share, of the Company, having such rights associated with such Class B Common Shares as set forth in the governing documents of the Company, including the Company’s Bye-laws, and any Equity Securities issued or issuable in exchange for or with respect to such Class B Common Shares (i) by way of dividend, split, subdivision, conversion or consolidation of shares or (ii) in connection with a reclassification, recapitalization, merger, consolidation, going private, tender offer, amalgamation, change of control, other reorganization or similar transaction. Notwithstanding the foregoing, for purposes of this Agreement, the term “Class B Common Shares” shall never include the Class A Common Shares into which they are convertible pursuant to the Company’s Bye-laws.

Class B Common Shares means the Class B common shares in the authorized share structure of JMB with the special rights and restrictions set out in Article 27 of the Original Articles;

Class B Common Shares means the U.S. Borrower’s Class B Common Stock, par value $0.001 per share.

Class B Common Shares means the issued and outstanding class B common shares, par value $1.00 per share, of the Company outstanding immediately prior to the Effective Time.
