The Class A Convertible Preference Shares, Class A-1 Convertible Preference Shares, Class B Convertible Preference Shares and Class B-1 Convertible Preference Shares that are subject to the Drag Along Notice shall convert into Class B Common Shares (at the then-applicable Conversion Rate) immediately prior to the consummation of such Approved Sale.
Each Required Member shall thereafter be obligated to sell all of their Common Units and corresponding Class B Common Shares on the terms set forth in the Drag-Along Notice.
