NON-COVERED EMPLOYEES definition

NON-COVERED EMPLOYEES means those employees of Target or of any Target Subsidiary that are regularly scheduled to work at least 30 hours per week and that are not party to or otherwise covered by a Target Employment Agreement.

NON-COVERED EMPLOYEES means each Acquired Company Employee that is not a Covered Employee.

NON-COVERED EMPLOYEES means the employees of the Seller Parties other than the Covered Employees.

• All Covered Persons and Non-Covered Employees shall comply with all applicable provisions of this Code and all applicable Federal securities laws regarding this Code.

• All Covered Persons and Non-Covered Employees shall report any violations of this Code to the Chief Compliance Officer (or his designee) immediately.

• It is understood and agreed that the Severance Payment to Non-Covered Employees and the payments to the employees identified on Section 5.7 of the Target Disclosure Letter shall be in lieu of any other severance benefits (except as required by applicable law) that any such employee is entitled to receive and will be applied against any liability of the Parent Entities which may arise under the Worker Adjustment and Retaining Notification Act ("WARN").

• Pay-For-Results Plan for Non-Covered Employees, effective November 1, 2001 (PFR Plan) or any other management bonus plan or arrangement that provides a bonus compensation opportunity to Eligible Employees as defined by the Committee from time to time.

• All Non-Covered Employees who are employees of an Acquired Company, if still employed by an Acquired Company immediately prior to the Closing Date, shall continue to be employees of such Acquired Company on the Closing Date (such persons, the “Continuing Non-Covered Employees”).

• All decisions of the Management Committee on any question concerning the interpretation and administration of the Plan shall be final, conclusive and binding upon all Non-Covered Employees.

• Pay-For-Results Plan for Non-Covered Employees, as amended from time to time, or any other management bonus plan or arrangement that provides a bonus compensation opportunity to Eligible Employees as defined by the Committee from time to time.
