Specified Employees definition

Specified Employees has the meaning set forth in Section 8.6.

Specified Employees means Xxxxx Xxxxxxxxxxx, Xxxxxx Xxxxxxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxxx, Xxxx Xxxxxxxxx, Xxx Sell, Xxxxx Xxxxxxxx, Xxxx Xxxxxxxx, Xxxx Xxxxxxxx, Xxxxx Xxxxxxxxxx, Xxxx Xxxxxxxx, Xxxx Xxxxxxxx, Xxxx Xxxxxxx, Xxx Xxxxxxx, Xxxx Xxxxxx and Xxxxxxxx Xxxxxxxx.

Specified Employees means the employees identified on Schedule 6.

Examples of Specified Employees in a sentence

• Section 1.409A-1(i)6), the identification of Specified Employees shall be determined in accordance with the default rules described therein, unless the Employer elects to utilize the available alternative methodology through designations made within the timeframes specified therein.

• All Participants who are determined to be key employees under Section 416(i) of the Code (without regard to paragraph (5) thereof) during the identification period shall be treated as Specified Employees for purposes of the Plan during the twelve (12) month period that begins on the first day of the 4th month following the close of such identification period.

• January of the first Plan Year following Separation from Service (for Specified Employees who Separate from Service between January 1 and June 30).

• All Participants who are determined to be key employees under Code Section 416(i) (without regard to paragraph (5) thereof) during the identification period shall be treated as Specified Employees for purposes of the Plan during the twelve (12) month period that begins on the first day of the 4th month following the close of such identification period.

More Definitions of Specified Employees

Specified Employees has the meaning set forth in Section 5.5.

Specified Employees means key employees, as defined in Section 416(i) of the Code without regard to paragraph (5) thereof, of the Company.

All individuals who are determined to be key employees under Section 416(i)(1)(A)(i), (ii) or (iii) of the Code (without regard to paragraph (5) thereof) on December 31st shall be treated as Specified Employees for purposes of the Plan during the twelve (12) month period that begins on the following January 15.

Specified Employees shall be determined in accordance with Section 409A(a)(2)(B)(i) of the Code and Treasury Regulation Section 1.409A-1(i).
