New Public Notes definition

New Public Notes means notes issued under the Plan to holders of Class 9 Allowed Claims by Reorganized Fountain View and guaranteed by Reorganized Summit Care Pharmacy, the Other Reorganized Debtors, and the Post-Effective Date Subsidiaries (except for any special purpose entities formed for insurance coverage purposes) to the extent permitted by the Exit Facility.
New Public Notes means the Seller's 10% Senior Notes due 2006 and guaranteed by Loral Space & Communications Ltd.;
New Public Notes means an issue of notes or other debt instruments that (i) have an aggregate face principal amount of at least $500 million held by Persons other than the Cablevision Member and Affiliates or any other Member or Affiliate thereof (other than the Tribune Member and Affiliates thereof), (ii) are on the date the Identical Notes are transferred to the Company and thereafter as freely tradable free of resale restrictions under the Securities Act of 1933, as amended, and the rules and regulations thereunder (the “1933 Act”) as such New Public Notes would be if they were issued in a transaction registered under the 1933 Act, and (iii) are on the date the Identical Notes are transferred to the Company traded in substantially the same manner as the Registered Notes traded on the date the Notes were contributed to the Company or in a manner that provides comparable or greater liquidity.

New Public Notes means the 5.60% senior unsecured notes of the Borrower due 2013 in an original principal amount not to exceed $300,000,000 issued December 2, 2003 pursuant to the Public Indenture and that certain Second Supplemental Indenture dated as of December 9, 2003.
New Public Notes means the 5.60% Senior Notes of the Company due 2013 in the original maximum principal amount of $200,000,000 issued December 9, 2003 pursuant to the Public Indenture, including that certain Second Supplemental Indenture dated as of December 9, 2003.

Related to New Public Notes

  • Public Notes means the Notes that have been registered under the Securities Act of 1933, as amended, or the securities laws of any other jurisdiction. As of the Closing Date, the Public Notes include the Class A Notes, the Class B Notes, the Class C Notes and the Class D Notes, other than any Notes held by the Depositor (or any other entity whose separate existence from the Trust is disregarded for federal income tax purposes).

  • MAC Notes The Classes of Modifiable And Combinable STACR® Notes shown on

  • 2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.

  • New Notes shall have the meaning assigned to such term in Section 32.

  • 2028 Notes means those 6.500% Senior Notes due 2028 issued by the Borrower in an aggregate principal amount of $400,000,000 pursuant to the 2028 Notes Documents.

  • DTC Notes means the Notes cleared, settled and maintained on the DTC System, registered in the name of a nominee of DTC and substantially in the form of Exhibit B hereto. The Notes will be DTC Notes at issuance.

  • 2015 Notes means the 8.375% senior notes due 2015 in the principal amounts of $615 million and €500 million issued pursuant to the 2015 Notes Indenture.

  • Bridge Notes means the series of notes, of which this Note is a part, dated on or about the date hereof, each of which are identical, other than the date of the Note, identity of the Holder and principal amount of this Note.

  • Original Notes means the Initial Notes and any Exchange Notes issued in exchange therefor.

  • Exchange Debentures has the meaning set forth in Section 2(a) hereof.

  • Equity Preferred Securities means, with respect to any Person, any trust preferred securities or deferrable interest subordinated debt securities issued by such Person or other financing vehicle of such Person that (i) have an original maturity of at least twenty years, and (ii) require no repayments or prepayments and no mandatory redemptions or repurchases, in each case, prior to the first anniversary of the latest Maturity Date.

  • Series D Notes is defined in Section 1.

  • Company Notes means the 5.500% Senior Notes of the Company due 2027 issued under the Indenture.

  • Existing Convertible Notes means any convertible notes or other convertible debt securities of the Company outstanding on the date of this Agreement.

  • Existing Notes means, collectively, the Existing Senior Guaranteed Notes and the Existing Senior Notes.

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • Convertible Notes has the meaning set forth in the Recitals.

  • 2014 Notes means (i) the 4.850% Senior Secured Notes due 2024 issued by the Issuer on March 18, 2014 and (ii) the 4.45% Senior Secured Notes due 2025 and the 5.45% Senior Secured Notes due 2034 issued by the Issuer on August 21, 2014.

  • Series A Debentures means the 8.675% Series A Junior Subordinated Deferrable Interest Debentures due February 1, 2027 of the Debenture Issuer issued pursuant to the Indenture.

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Series C Notes is defined in Section 1.

  • Convertible Debentures means the 10½% Convertible Subordinated Debentures due 2007 of the Company.

  • Trust Preferred Securities any preferred securities issued by a Trust Preferred Securities Subsidiary, where such preferred securities have the following characteristics:

  • Securities Documents means all reports, offering circulars, proxy statements, registration statements and all similar documents filed, or required to be filed, pursuant to the Securities Laws.

  • 2016 Notes means the aggregate principal amount of US$460,000,000 of 4.25% Convertible Senior Notes Due 2016 issued pursuant to the 2016 Note Indenture.

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.
