Lilly Technology definition

Lilly Technology means Lilly Know-How and Lilly Patents.
Lilly Technology means all tangible or intangible know-how, trade secrets, inventions (whether or not patentable), data, clinical and preclinical results, information, and any physical, chemical or biological material, any replication or any part of such material, necessary for the development and manufacture of Drug Product, that Lilly or any Affiliate of Lilly, owns or controls as of the Effective Date.

  • In the event of termination hereunder by Ophidian, licenses to Ophidian Patents and Ophidian Technology granted hereunder to Lilly shall terminate, and Ophidian shall have a limited non-exclusive, worldwide, fully paid license with the right to sublicense to the Lilly Patents, Lilly Technology, Lilly Program Patents and Lilly Program Technology to make, have made use, have used, import, offer for sale, sell, and have sold Bulk Drug Substance and Drug Product.

Lilly Technology means the Lilly Patents and/or the Lilly Know-How; [* * *] means a manual, a table of contents of which is attached hereto as Appendix I, containing certain specifications, procedures, methods and personnel contacts relating to [* * *] that will be compiled and agreed upon between the Parties prior to the commencement of manufacture of the Carrier(s) by Emisphere. Lilly Technology means Technology (excluding Nektar Technology), including Lilly Materials, know-how and trade secrets Controlled by Lilly and/or its Affiliate(s) as of the Effective Date or made or developed by or on behalf of Lilly or its Affiliate(s) (other than by Nektar or its Affiliates) during the Term of this Agreement, in each instance that is necessary or useful (as such usefulness is reasonably determined by Lilly) for the manufacture, use or sale of Compound or Product in the Field.
