Lead Senior Note definition

Lead Senior Note means (i) during the period from and after the Note A-2 Securitization Date, Note A-2 and prior to the Note A-1 Securitization Date; and (ii) from and after the Note A-1 Securitization Date, Note A-1.
Lead Senior Note means Note A-1.

  • Upon a Securitization of the Lead Senior Note, the Certificate Administrator shall automatically become and be the Agent.

  • If a New Note is created out of the Lead Senior Note, the Original Entity shall designate which Note will eligible for “control” during a Control Appraisal Period and the holders of all other New Notes will be treated as “Non-Controlling Senior Noteholders.” If a New Note is created out of the Lead Note, the Lead Senior Noteholder shall designate which Note will be in the Lead Securitization.

  • If a New Note is created out of the Lead Senior Note, the Original Entity shall designate which Note will eligible for “control” during a Control Appraisal Period and the holders of all other New Notes will be treated as “Non-Controlling Noteholders”.

  • Notwithstanding anything to the contrary in this Agreement, upon a Securitization of the Lead Senior Note, the originals of all of the Mortgage Loan Documents (other than the Non-Lead Senior Notes, Note B and Note C) shall be held by the custodian for the Lead Securitization.

  • Upon a Securitization of the Lead Senior Note, the Servicer shall automatically become and be the Agent.

  • Notwithstanding anything to the contrary in this Agreement, upon a Securitization of the Lead Senior Note, the originals of all of the Mortgage Loan Documents (other than the Notes not included in such securitization) shall be held by the custodian for the Lead Securitization.

  • Notwithstanding the to the contrary in this Agreement, upon a Securitization of the Lead Senior Note, the Certificate Administrator shall automatically become and be the Agent.

  • Notwithstanding anything to the contrary in this Agreement, upon a Securitization of the Lead Senior Note, the originals of all of the Mortgage Loan Documents (other than the Non-Lead Senior Note and the Junior Note) shall be held by the Custodian (as defined in the Securitization Servicing Agreement).

Related to Lead Senior Note

  • Subordinated Note means the Subordinated Note (or collectively, the “Subordinated Notes”) in the form attached as Exhibit A hereto, as amended, restated, supplemented or modified from time to time, and each Subordinated Note delivered in substitution or exchange for such Subordinated Note.

  • Senior Note means, for a Supplemental Loan, if any, each Multifamily Note secured by a Senior Instrument.

  • New Senior Notes has the meaning set forth in the recitals hereto.

  • Existing Senior Notes means the Existing 2020 Senior Notes and the Existing 2021 Senior Notes, collectively.

  • Existing Senior Secured Notes means the Borrower’s $800,000,000 8.500% Senior Secured Notes due 2019, issued pursuant to the Existing Senior Secured Notes Indenture.

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • Senior Notes Trustee means any entity acting as trustee under any issue of Senior Notes (to the extent it has acceded to this Agreement in such capacity pursuant to a Creditor/Agent Accession Undertaking), in each case as the context requires.

  • Lead Securitization Note means the Note included in the Lead Securitization.

  • Subordinated Debentures means the debentures exchangeable by the Company for the Preferred Stock in accordance with the Certificate of Designations therefor.

  • Existing Unsecured Notes the Borrower’s 11.5% Senior Notes due 2018, issued pursuant to the Existing Unsecured Indenture, outstanding on the Closing Date or subsequently issued in exchange for or in respect of any such notes.

  • Senior Notes Claim means any Claim on account of the Senior Notes.

  • Non-Lead Securitization Note means any Note other than the Lead Securitization Note.

  • Existing Senior Subordinated Notes means the Issuer’s 10 1⁄8% Senior Subordinated Notes due 2016 issued pursuant to the Indenture dated as of December 1, 2006, among the Issuer, the Guarantors listed therein and The Bank of New York Mellon as Trustee.

  • Senior Note Indenture the Indenture entered into by Holdings, the Borrower and certain of its Subsidiaries in connection with the issuance of the Senior Notes, together with all instruments and other agreements entered into by Holdings, the Borrower or such Subsidiaries in connection therewith.

  • Subordinated Note Indenture means the Indenture dated as of the Closing Date, among the Borrower, the guarantors party thereto and The Bank of New York, as trustee, pursuant to which the Subordinated Notes are issued, as the same may be amended, supplemented or otherwise modified from time to time to the extent permitted by Section 10.7(b).

  • Secured Note means each promissory note with a related security interest evidenced by written agreement, pursuant to which the purchase of specified assets by an Obligor or End-User is financed for specified monthly, quarterly, semiannual or annual payments.

  • Senior Secured Notes Trustee means The Bank of New York Mellon Trust Company, N.A. and its successors and assigns acting as trustee under the Senior Secured Notes Indenture.

  • Senior Note Indentures means, collectively, the Senior Note (2020) Indenture, the Senior Note (2021) Indenture, the Senior Note (2022) Indenture and the Senior Note (2023) Indenture.

  • Subordinated Note Amount has the meaning set forth in the Recitals.

  • Senior Unsecured Notes means $2,000,000,000 in aggregate principal amount of the Borrower’s 9.000% senior notes due 2025 issued pursuant to the Senior Unsecured Notes Indenture on the Closing Date.

  • Senior Secured Notes means the $1,875 million aggregate principal amount of 7.375% Senior Secured Notes due 2023 of the Borrower including, as the same may be amended, supplemented, waived or otherwise modified from time to time, including any senior secured exchange notes issued in lieu thereof.

  • Senior Secured Note Indenture means the Indenture dated as of November 5, 2009, among the Issuers, the Note Guarantors (as defined therein) and The Bank of New York Mellon, as trustee, principal paying agent, transfer agent and registrar, as amended, extended, restructured, renewed, refunded, novated, supplemented, restated, replaced or modified from time to time;

  • Junior Notes means Note B-1, Note B-2, Note B-3 and Note B-4.

  • Unsecured Notes means any senior unsecured notes, subordinated unsecured notes or senior subordinated unsecured notes, in each case, issued by the Borrower or a Guarantor in one or more transactions.

  • Senior Secured Notes Documents means the Senior Secured Notes Indenture and the other transaction documents referred to therein (including the related guarantee, the notes and the notes purchase agreement).

  • Senior Noteholders means the holders of the Senior Notes.
