The Sale Transaction shall be implemented as a public disposition of Senior Notes Collateral pursuant to §§ 9-610 and 9-611 of the Uniform Commercial Code as in effect from time to time in the State of New York (the “UCC”) conducted by Senior Notes Trustee in its capacity as the collateral trustee for the Senior Notes (the “Senior Notes Trustee”), coupled with a consensual assignment of Acquired Assets not otherwise constituting Senior Notes Collateral by the Company Parties to the winning bidder.
The Bridge Facility Collateral shall rank pari passu with the Senior Notes Collateral, as evidenced by an intercreditor agreement by and between the Senior Notes Trustee and the Bridge Facility Agent, which shall be in form and substance acceptable to AYR and the Required Consenting Senior Noteholders.
