The Agent may be terminated at any time upon ten (10) days prior written notice from the Note A-1 Holder.
The Note A-1 Holder shall not be obligated to make any payment hereunder to the Note B Holder in respect of the Note B or otherwise until the Note B Holder shall have furnished to the Note A-1 Holder the requested forms, certificates, statements or documents.
The preceding sentence shall not be construed to grant to any Non-Lead Securitization Note Holder the benefit of any representation or warranty made by the Initial Note A-1 Holder or any document delivery obligation imposed on the Initial Note A-1 Holder under any mortgage loan purchase and sale agreement, instrument of transfer or other document or instrument that may be executed or delivered by the Initial Note A-1 Holder in connection with the Lead Securitization.
This Agreement shall not be modified, cancelled or terminated except by an instrument in writing signed by the Note A-1 Holder and the Note A-2 Holder.
The Note A-1 Holder shall provide the Non-Controlling Note Holders and Note B Holder with a reasonable opportunity to review and comment on any replacement Servicing Agreement, and the Note B Holder agrees to reasonably negotiate the final terms of such servicing agreement as promptly as reasonably possible upon receipt of any proposed revisions.
