Knowledge of the Partnership definition

Knowledge of the Partnership means to the actual knowledge of Xxxxx X. Xxxxxxx, Xxxx X. Xxxx, Xxxxx X. Xxxxxx, Xxxxxx X. Xxxxxx or Xxxxxx X. Xxxxxx, as Chairman or executive officers of the General Partner.

Knowledge of the Partnership means, the actual knowledge after due and reasonable inquiry of: J. Xxxxxxx Xxxxx, Xxxxxx X. Xxxxxxxx and Xxxxxx X. Xxxxxxx.

Knowledge of the Partnership means to the actual knowledge of Dan L. Duncan, W. Randall Fowler, Michael A. Creel and Richard H. Bachmann, as Chairman or executive officers of the general partner of the Partnership.

Examples of Knowledge of the Partnership in a sentence

• There are no Proceedings pending, or to the Knowledge of the Partnership, threatened in writing before any Government Entity against the Partnership or any Affiliate of the Partnership which are reasonably likely to materially impair the Partnership’s ability to perform its obligations under this Agreement.

• There are no bankruptcy, reorganization or receivership Proceedings pending against, or, to the Knowledge of the Partnership, being contemplated by, or threatened against the Partnership.

More Definitions of Knowledge of the Partnership

Knowledge of the Partnership means the actual knowledge of any of Xxxxxx Xxxxxxx, Xxxxxxx Xxxxxx, Xxxxx Xxxxxx, Xxxx Xxx and Xxx Xxxxxxxxxx and the knowledge that would have been obtained by such Persons after reasonable inquiry and investigation.

Knowledge of the Partnership or words of similar import, means the actual knowledge, without duty of inquiry, of Xxxxxxx Xxxxxxxx, Xxxxxx Xxxxx or Xxxx Xxxxx.

Knowledge of the Partnership or "Known to the Partnership" means the actual knowledge after due investigation of any Partner.

Knowledge of the Partnership means the actual knowledge of one or more of the Partnership’s chief executive officer, chief operating officer, chief financial officer or general counsel.

Knowledge of the Partnership means the actual (but not constructive or imputed) knowledge of the persons listed in Schedule 1.1(a) as of the date of this Agreement and the Closing Date (or, with respect to a certificate delivered pursuant to this Agreement, as of the date of delivery of such certificate).

Knowledge of the Partnership means the actual knowledge of any of Howard Lutnick, Stephen Merkel, Steve Bisgay, Jeff Day and Ira Strassberg and the knowledge that would have been obtained by such Persons after reasonable inquiry and investigation.

Knowledge of the Partnership shall have the meaning given to it in Section 1.4(a).
