Knowledge of the Seller definition

Knowledge of the Seller means the actual knowledge of the individuals listed on Schedule 1.1 of the Disclosure Schedule, after reasonable due inquiry.

Knowledge of the Seller means the actual knowledge of the Owner Member, [REDACTED] or [REDACTED], with respect to the matter in question, and such knowledge as any of the foregoing reasonably should have obtained upon diligent investigation and inquiry into the matter in question.

Knowledge of the Seller means the actual knowledge of Xxxx Xxxxx, Xxx Xxxxxxxxx, or Xxxxxx XxXxxxx.

Knowledge of the Seller means the actual knowledge of any one or more of the Persons listed in Section 1.1(b) of the Seller Disclosure Schedules as of the date of this Agreement (or, with respect to a certificate delivered pursuant to this Agreement, as of the date of delivery of such certificate) and the knowledge such individuals would have acquired after reasonable inquiry.

Knowledge of the Seller or similar phrases means matters actually known to Xxxxxx Xxxxxx, Xxxxxx Xxxxx, Xxxxxx X'Xxxx, Xxxxxxxx Xxxxxxx, Xxxxxxx Xxxxxxx or Xxxxx Xxx.
