Material Company definition

Material Company means, at any time:
Material Company has the meaning assigned to such term in clause (g) of Article VII.
Material Company means the Issuer and each Group Company representing more than five per cent. of the EBITDA, turnover or consolidated gross assets on a consolidated basis (for the avoidance of doubt, excluding any intra group transactions) of the Group according to the latest Financial Report for the Group.

  • If deliverables are created by Company specifically for Customer and identified as such in Supporting Material, Company hereby grants Customer a worldwide, non-exclusive, fully paid, royalty-free license to reproduce and use copies of the deliverables internally.

  • Any Material Company is, or is deemed for the purposes of any applicable law to be, Insolvent.

  • In respect of any Material Company, such accession shall take place no later than 60 calendar days from the Subsidiary becoming a Material Company.
