Parent’s Knowledge definition

Parent’s Knowledge means the actual knowledge of those individuals identified in Section 1.1(b) of the Parent Disclosure Schedule.
Parent’s Knowledge means the actual knowledge of any executive officer or director of Parent.

  • To Parent’s Knowledge, except as set forth in Schedule 3.8(c), such disclosure controls and procedures are effective in timely alerting Parent’s principal executive officer and principal financial officer to material information required to be included in Parent’s periodic reports required under the Exchange Act.

Parent’s Knowledge means, as it relates to Parent or any of its Subsidiaries, as of the applicable date, the actual knowledge of ▇▇▇▇▇▇ ▇▇▇▇▇▇ and ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇, each such individual having made reasonable inquiries with respect to the relevant subject matters.
Parent’s Knowledge or “Known to Parent” means the actual knowledge, after reasonable inquiry, of any director or officer of Parent, Merger Sub or any Consortium Member.

Parent’s Knowledge or “knowledge of Parent”, or any other phrases of similar meaning, shall mean the actual knowledge (after reasonable investigation) of the individuals set forth in Section 9.12 of the Parent Disclosure Letter.
