No Proceeding shall have been instituted (or Threatened) against each of the Vendors or the Corporation which would reasonably be expected to prevent, delay, make illegal or otherwise interfere with any of the transactions contemplated hereby or in any of the Closing Documents, or to result in a Material Adverse Change in the Business.
All the Licences are valid and are in full force and effect, the Target is not in violation of any term or provision or requirement of any Licence and no Person has, to the knowledge of the Vendors, Threatened to revoke, amend or impose any condition in respect of, or commenced proceedings to revoke, amend or impose conditions in respect of, any Licence.

There is no Legal Proceeding in progress, pending, or, to the knowledge of the Purchaser and Red Cat, Threatened against or affecting the Purchaser or Red Cat, and there are no grounds on which any such Legal Proceeding might be commenced and there is no Order outstanding against or affecting the Purchaser or Red Cat which, in any such case, affects adversely or might affect adversely the ability of the Purchaser and Red Cat to enter into this Agreement or to perform their respective obligations hereunder.
