There are no actions, suits or proceedings pending or, to the Purchaser’s Knowledge, threatened against the Purchaser, at law or in equity, or before any Governmental Authority, except as would not, individually or in the aggregate, have or reasonably be expected to have a Purchaser Material Adverse Effect.
There are no Proceedings pending or, to Purchaser’s Knowledge, threatened against Purchaser or any of its Subsidiaries that individually or in the aggregate, have had or would reasonably be expected to have a material adverse effect on the ability of Purchaser to consummate the transactions contemplated by this Agreement.
