Joint Lead Arranger definition

Joint Lead Arranger as defined in the preamble hereto.

Joint Lead Arranger means ABN AMRO Capital USA LLC, The Bank of Nova Scotia, The Bank of Tokyo-Mitsubishi UFJ, LTD., HSBC Bank USA, National Association, ING Capital LLC, Xxxxxx Xxxxxxx Bank, N.A., Société Générale and Sumitomo Mitsui Banking Corporation, in each case, not in its individual capacity, but as joint lead arranger hereunder and any successors and permitted assigns.

Joint Lead Arranger means the entities identified as such on the cover of this Agreement.

Examples of Joint Lead Arranger in a sentence

• To the fullest extent permitted by law, the Borrower hereby waives and releases any claims that it may have against the Administrative Agent, any Joint Lead Arranger or any Lender with respect to any breach or alleged breach of agency or fiduciary duty in connection with any aspect of any transaction contemplated hereby.

• The Borrower agrees to pay to the Administrative Agent and each Joint Lead Arranger, for their accounts, the fees agreed to by the Borrower, the Administrative Agent and/or such Joint Lead Arrangers pursuant to the Fee Letters.

• None of the Administrative Agent, any Joint Lead Arranger, any LC Issuer, the Swingline Lender or any Lender shall have any fiduciary responsibilities to the Borrower.

• None of the Administrative Agent, any Joint Lead Arranger, any LC Issuer, the Swingline Lender or any Lender undertakes any responsibility to the Borrower to review or inform the Borrower of any matter in connection with any phase of the Borrower’s business or operations.

• To the fullest extent permitted by law, the Borrower hereby waives and releases, any claims that it may have against the Administrative Agent, any Joint Lead Arranger or any Lender with respect to any breach or alleged breach of agency or fiduciary duty in connection with any aspect of any transaction contemplated hereby.

More Definitions of Joint Lead Arranger

Joint Lead Arranger means each of BAS, Xxxxx Fargo Securities, LLC, and HSBC, in each case, in its capacity as a joint lead arranger and a joint book manager, collectively, the “Joint Lead Arrangers.”

Joint Lead Arranger means each of Chase Securities Inc., Lehmxx Xxxthers Inc. and Merrxxx Xxxcx & Xo., each in its capacity as a joint lead arranger of the credit facility evidenced by this Agreement.

Joint Lead Arranger has the meaning given to it in the Term Loan A Credit Agreement.

Joint Lead Arranger or “Joint Lead Arrangers” means the Lead Arranger.

Joint Lead Arranger means each of Xxxxx Fargo Securities, LLC and X.X. Xxxxxx Securities LLC, in its capacity as a joint lead arranger. Except as expressly set forth in clause (y) of Section 9.02(b) and in Section 9.03, the capacity of each Joint Lead Arranger is titular in nature, and no Joint Lead Arranger shall have any special rights or obligations over those of a Lender by reason thereof.
