The Subscription Agreement provides that the obligation of the Sole Bookrunner to purchase the Notes is subject to the approval of legal matters by counsel and to other conditions.
The Bank has been informed that the Sole Bookrunner proposes to resell beneficial interests in the Notes at the issue price set forth on the cover page of this Offering Memorandum only to non-U.S. persons in offshore transactions in reliance upon Regulation S (see “Subscription and Sale and Transfer and Selling Restrictions” in the Base Prospectus).
Subject to the terms and conditions stated in a subscription agreement in respect of the Notes entered into on 16 January 2020 between the Sole Bookrunner and the Bank (the “Subscription Agreement”), the Sole Bookrunner has agreed to purchase, and the Bank has agreed to sell to the Sole Bookrunner, all of the Notes at the issue price set forth on the cover of this Offering Memorandum.
