Early Exercise Event definition

Early Exercise Event means the earliest to occur of (i) the two business days prior to the date the Common Stock ceases to be admitted for trading on the New York Stock Exchange or the NASDAQ Stock Market or (ii) fifteen (15) business days before the scheduled closing date of any Fundamental Transaction (as defined herein).
Early Exercise Event means the occurrence of any of the following: (i) an agreement providing for a Business Combination is approved by the Board if such Business Combination, if consummated, would result in a Change of Control, (ii) a Tender Offer for the Company's securities is approved or recommended by the Board, (iii) Warburg, Pincus Equity Partners, L.P. and its Affiliates Beneficially Own less than 10% of the outstanding Voting Stock of the Company, (iv) there is a redemption, repurchase or reacquisition by the Company of Rights issued pursuant to the Rights Agreement or any waiver of the application of the Rights Agreement to any Beneficial Owner or (v) any Non-Financial Person or Group of Non-Financial Persons Beneficially Own more than 20% of the outstanding Voting Stock of the Company or any Financial Person or Group of Financial Persons Beneficially Own more than 35% of the outstanding Voting Stock of the Company.
Early Exercise Event means the occurrence of (a) a Tax Event; (b) a Selling Restrictions Breach Event; or(c) a Reference Entity Event, in each case as specified as applicable in the Final Terms.

Examples of Early Exercise Event in a sentence

  • Upon the occurrence of an Early Exercise Event, this Warrant shall be exercisable (a) at a price per share of $12.86 (subject to adjustment provided herein), and (b) for a period of 24 months after the later of (x) the Early Exercise Event or (y) the consummation by the Company of an IPO (as hereinafter defined) after which time this Warrant shall terminate and be of no further force and effect.


More Definitions of Early Exercise Event

Early Exercise Event has the meaning given to it in the Warrants.
Early Exercise Event means the occurrence of any of the following: (i) an -------------------- agreement providing for a Business Combination that will result in a Change of Control is approved by the Board, (ii) a Tender Offer for the Common Stock is approved or recommended by the Board or (iii) prior to the second day preceding the expiration of a Tender Offer for Common Stock which is not approved or recommended by the Board, the Company does not have in effect a typical shareholders' rights plan with a threshold of 20% or less or such shareholders rights plan ceases to be in effect prior to the expiration of such Tender Offer or the application of such shareholders rights plan is waived with respect to any Person making such Tender Offer.

Related to Early Exercise Event

  • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • Automatic Exercise Applicable; and means that for each Expiration Date, a number of Warrants equal to the Daily Number of Warrants for such Expiration Date will be deemed to be automatically exercised at the Expiration Time on such Expiration Date.

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.

  • Early Termination Event has the meaning specified in Section 9.2.

  • Termination Option Event means an event of a kind defined as such in Section 4.1, 4.2 or 4.8.

  • Early Termination Notice is defined in Section 4.2 of this Agreement.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Automatic Exercise Date means, with respect to an Option or a Stock Appreciation Right, the last business day of the applicable Option Term or Stock Appreciation Right Term that was initially established by the Administrator for such Option or Stock Appreciation Right (e.g., the last business day prior to the tenth anniversary of the date of grant of such Option or Stock Appreciation Right if the Option or Stock Appreciation Right initially had a ten-year Option Term or Stock Appreciation Right Term, as applicable).

  • Early Termination Conditions means the types of conditions listed in Schedule A.

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Initial Exercise Date shall have the meaning ascribed to such term in the Preamble.

  • Termination due to Disability means a termination of the Executive’s employment by the Company because the Executive has been incapable, after reasonable accommodation, of substantially fulfilling the positions, duties, responsibilities and obligations set forth in this Agreement because of physical, mental or emotional incapacity resulting from injury, sickness or disease for a period of (A) six (6) consecutive months or (B) an aggregate of nine (9) months (whether or not consecutive) in any twelve (12) month period. Any question as to the existence, extent or potentiality of the Executive’s disability shall be determined by a qualified physician selected by the Company with the consent of the Executive, which consent shall not be unreasonably withheld. The Executive or the Executive’s legal representatives or any adult member of the Executive’s immediate family shall have the right to present to such physician such information and arguments as to the Executive’s disability as he, she or they deem appropriate, including the opinion of the Executive’s personal physician.

  • Change of Control Triggering Event means the occurrence of both a Change of Control and a Rating Event.

  • Forced Conversion Notice Date shall have the meaning set forth in Section 6(d).

  • Early Termination Date means the date determined in accordance with Section 6(a) or 6(b)(iv).

  • Demand Exercise Notice has the meaning set forth in Section 2.1(a).

  • Early Termination means the Termination of Employment before Normal Retirement Age for reasons other than death, Disability, Termination for Cause or following a Change of Control.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).

  • Subsequent Triggering Event means either of the following events or transactions occurring after the date hereof:

  • Forced Conversion Notice has the meaning set forth in Section 4.05(c) hereof.

  • Notice Event means any of the events enumerated in paragraph (b)(5)(i)(C) of the Rule and listed in Section 4(a) of this Disclosure Agreement.

  • Voting Rights Triggering Event means the failure of the Company to pay dividends on the Preferred Stock with respect to six or more quarterly periods (whether or not consecutive).
