Warrant Exercise Period definition

Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

Warrant Exercise Period shall commence (subject to Section 6(d) below), (A) for all Warrants other than the Initial Founder's Warrants on the later of: (i) the date that is 12 months from the closing of the Initial Public Offering or (ii) the date on which the Company completes its Initial Business Combination, and (B) for the Initial Founder's Warrants on the date that the Closing Price of the Company's Common Stock exceeds $14.25 per share for any 20 Trading days within a 30 trading day period beginning 90 days after the Initial Business Combination, and shall end on the earlier of: (i) the date that is five years from the date of the final prospectus for the offering of the Public Warrants or (ii) the Business Day preceding the date on which such Warrants are redeemed pursuant to Section 6(b) below or expire pursuant to Section 6(e) below.   • Warrants may be exercised only during the Warrant Exercise Period subject to the conditions set forth in the Warrant Agreement and to the extent not exercised by the end of such Warrant Exercise Period such Warrants shall become void.
