Breach Event definition

Breach Event means either:
Breach Event means any of the following events: the breach of any Contractual Obligations by the Pledgors or the Domestic Affiliates under Cooperation Agreements, and any representations and warranties or other information under the Cooperation Agreements presented by the Pledgors and the Domestic Affiliates are or are proved to be false or misleading in any material respect, or any agreement in the Cooperation Agreements become invalid or unfulfilled due to change of PRC laws and regulations, the promulgation of new PRC laws and regulations or any other reason, and the Parties fail to find an alternative arrangement.
Breach Event means any of the circumstances set out in Clause 7 hereof.

Examples of Breach Event in a sentence

  • In the event that the Recipient breaches the covenants set forth in this first paragraph of Section 4, it shall be considered a Breach Event under Section 3 above.

  • The Seller and the Purchasers agree that the Purchasers will suffer damages if a Breach Event (as defined below) occurs or is ongoing.

  • In the event of any Breach Event, the Pledgee has the right to dispose of the Pledged Equity in the manner prescribed in Article IV of this Agreement.


More Definitions of Breach Event

Breach Event means the occurrence of one or more of the following during the term of the Purchase Agreement:
Breach Event. Each one of the events, and each one of the circumstances set forth in section 14 (Breaches) of the Agreement, (regardless of whether it was caused by a reason under the control of the Management Venture or of any other body whatsoever, or otherwise) all if each one of such events and each one of such circumstances were not immediately remedied, and if the Client determined a date to correct the breach, pursuant to its exclusive discretion, then until such date.

Breach Event shall have the meaning assigned to it under the New Employment Agreement.

Breach Event means the Participant’s breach or default of an agreement, commitment or obligation to or with the Company or any Affiliate either during Participant’s Continuous Service or after Participant’s Termination Date, including, without limitation, breaching a confidentiality, noncompetition or non-solicitation agreement, covenant or obligation. The determination of whether a Breach Event has occurred shall be made in the sole and absolute discretion of the Plan Administrator.
