DIRECTV Equipment definition

DIRECTV Equipment means the direct broadcast satellite receiving equipment, which is manufactured by a manufacturer, authorized by DIRECTV from time to time, in its sole discretion, and associated hardware necessary for installation and operation of a SMATV system at a SMATV Establishment.
DIRECTV Equipment means any subscriber terminal equipment owned by any Seller or its Affiliates, including integrated receiver decoders (IRDs or set-top boxes), remote control units and satellite antennas that relate to the DIRECTV Services, including any such equipment leased by any Seller or Affiliate to Subscribers, as well as the conditional access modules or access cards in the possession of Sellers, any of their Affiliates or Active Subscribers, all of which are owned by Purchaser or its Affiliates and provided to Sellers for license to Active Subscribers.

  • DSI MSO Dealer shall provide customer service to DSI MSO Dealer Properties regarding the DIRECTV Equipment and DIRECTV SMATV Programming.

  • In addition, DSI MSO Dealer shall indemnify DSI/DIRECTV, its affiliates and each of their respective employees, officers and directors from and against any and all Claims arising out of DSI MSO Dealer’s installation and/or maintenance of the DIRECTV Equipment or any other equipment utilized in connection with the provision of services to DSI MSO Dealer Properties.

  • Subject to any buydown program and chargeback rights, any fees DSI MSO Dealer collects from DSI MSO Dealer Properties which are related to the purchase, lease or rental of DIRECTV Equipment itself or the installation or maintenance thereof, shall be the sole property of DSI MSO Dealer.

  • DSI MSO Dealer shall respond to all customer service requests promptly (and in any event shall contact any DSI MSO Dealer Property reporting a substantial problem or concern with their DIRECTV Equipment or any part of a DIRECTV SMATV System within 24 hours of such report).

  • DSI/DIRECTV, at its sole discretion, may from time to time offer buydown promotions to subsidize the purchase of DIRECTV Equipment by DSI MSO Dealer.

  • Immediately after DSI MSO Dealer takes an order for DIRECTV SMATV Programming from a SMATV Establishment, DSI MSO Dealer shall forward to DSI, in accordance with written instructions provided by DSI to DSI MSO Dealer, all Subscriber Information pertaining to that SMATV Establishment and provide notice that such SMATV Establishment’s DIRECTV Equipment is ready for activation.

  • In selling, installing and maintaining DIRECTV Equipment and/or other parts of the DIRECTV SMATV System, DSI MSO Dealer shall comply with all applicable DIRECTV Equipment manufacturers’ policies as set forth by such DIRECTV Equipment manufacturers.

  • DSI MSO Dealer acknowledges and is aware that certain DIRECTV Equipment and related equipment necessary for the performance of the parties’ obligations hereunder is designed solely for use by commercial customers, and is not generally offered to the retail public.

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Fixed Equipment means any property affixed in any way to the Licensed Premises existing at the time Notice to Proceed is given, whose removal would damage the Licensed Premises.

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • New equipment means equipment for which, by the cut-off date, neither of the following events has occurred:

  • Service Equipment means any equipment, Software, systems, cabling and facilities provided by or on behalf of Verizon and used to facilitate provision of the Services at a Customer Site. Ownership of the Service Equipment does not pass to Customer. Service Equipment does not include Verizon Facilities.

  • Designated Equipment means either: (i) a server identified by serial number, or host I.D. on which the Licensed Materials are stored; or (ii) a computer or workstation, as identified by its serial number, host I.D. number or Ethernet address; to which the Licensed Materials are downloaded and Used only upon the issuance of a License Key. The Designated Equipment shall be of a manufacture, make and model, and have the configuration, capacity (i.e., memory/disk), operating software version level, and pre- requisite and co-requisite applications, prescribed in the Documentation as necessary or desirable for the operation of the Software.

  • Supplier Equipment means the Supplier's hardware, computer and telecoms devices, equipment, plant, materials and such other items supplied and used by the Supplier (but not hired, leased or loaned from the Customer) in the performance of its obligations under this Call Off Contract;

  • Leased Equipment means the equipment which may include but not limited to modem provided by TM on lease basis to enable usage of the Service by the Customer, as may be decided by TM from time to time at its sole discretion.

  • Port Cargo Handling Equipment means rubber-tired gantry cranes, straddle carriers, shuttle carriers, and terminal tractors, including yard hostlers and yard tractors that operate within ports.

  • Associated equipment means equipment that is used in conjunction with a radiographic exposure device to make radiographic exposures that drives, guides, or comes in contact with the source, e.g., guide tube, control tube, control (drive) cable, removable source stop, “J” tube and collimator when it is used as an exposure head.

  • Project Equipment means the items of machinery, equipment or other personal property used in connection with the construction and development of the Project pursuant to the provisions hereof, and all replacements thereof and substitutions therefor made pursuant to this Agreement.

Interconnection equipment may be installed as part of an integrated equipment package that includes a generator or other electric source.

  • Company Equipment means all equipment supplied by the Company to the Contractor, to use in the performance of the Work and which is specified in the Contract as “Company Equipment”.

  • Accessory equipment means any equipment associated with the installation of a wireless telecommunications facility, including but not limited to cabling, generators, fans, air conditioning units, electrical panels, equipment shelters, equipment cabinets, equipment buildings, pedestals, meters, vaults, splice boxes, and surface location markers.

  • X-ray equipment means an x-ray system, subsystem, or component thereof. Types of x-ray equipment are as follows:

  • Excluded Equipment means, at any date, any equipment or other assets of the Borrower or any Guarantor which is subject to, or secured by, a Capitalized Lease Obligation or a purchase money obligation if and to the extent that (i) a restriction in favor of a Person who is not Holdings or any Restricted Subsidiary of Holdings contained in the agreements or documents granting or governing such Capitalized Lease Obligation or purchase money obligation prohibits, or requires any consent or establishes any other conditions for or would result in the termination of such agreement or document because of an assignment thereof, or a grant of a security interest therein, by the Borrower or any Guarantor and (ii) such restriction relates only to the asset or assets acquired by the Borrower or any Guarantor with the proceeds of such Capitalized Lease Obligation or purchase money obligation and attachments thereto, improvements thereof or substitutions therefor; provided that all proceeds paid or payable to any of the Borrower or any Guarantor from any sale, transfer or assignment or other voluntary or involuntary disposition of such assets and all rights to receive such proceeds shall be included in the Collateral to the extent not otherwise required to be paid to the holder of any Capitalized Lease Obligations or purchase money obligations secured by such assets.

  • Rental Equipment means the equipment identified on the Service Agreement and Order Schedule or otherwise notified to you in writing that we will rent to you as part of our provision of the Services and which you will return to us after expiry or termination of the Agreement, subject to the provisions of this Agreement.

  • Load Control Equipment means the equipment (which may include, but is not limited to, ripple receivers and relays) that is from time to time installed in, over or on Consumer’s Premises for the purpose of receiving signals sent by Load Signalling Equipment and switching on and off, or otherwise controlling, controllable load;

  • Systems and Equipment means any plant, machinery, transformers, duct work, cable, wires, and other equipment, facilities, and systems designed to supply heat, ventilation, air conditioning and humidity or any other services or utilities, or comprising or serving as any component or portion of the electrical, gas, steam, plumbing, sprinkler, communications, alarm, security, or fire/life/safety systems or equipment, or any other mechanical, electrical, electronic, computer or other systems or equipment for the Property.

  • Ancillary equipment means any device including, but not limited to, such devices as piping, fittings, flanges, valves, and pumps, that is used to distribute, meter, or control the flow of hazardous waste from its point of generation to a storage or treatment tank(s), between hazardous waste storage and treatment tanks to a point of disposal onsite, or to a point of shipment for disposal off-site.
