The parties agree that all issues of Notes shall be made in accordance with the Procedures Memorandum unless the Issuer, the Relevant Dealer(s) and the Fiscal Agent and, in the case of Registered Notes, the Registrar agree otherwise in respect of any issue.
Upon it becoming aware, each of the Issuers and the Guarantor each undertakes promptly to notify the Dealers of any change in the ratings given by Fitch, Moody’s and/or Standard & Poor’s of the relevant Issuer’s or, where the relevant Issuer is STUF, the Guarantor’s debt or that such ratings are listed on “Creditwatch” or other similar publication of formal review by the relevant rating agency.
Dealers must comply in all respects with these regulations and standards.
Unless otherwise agreed between the Trustee, the Bank and the Relevant Dealer(s) (as defined in the Programme Agreement), as the case may be, or unless the Principal Paying Agent is the Calculation Agent (in which case the provisions of this Agreement shall apply), those determinations shall be made on the basis of the Calculation Agent appointment letter substantially in the form of Schedule 2.
Before fulfilling any Customer purchases and receiving payment, the Contractor and applicable Subcontractors, Affiliates, Partners, Resellers, Distributors, and Dealers must have met the following requirements, unless further notated below: • Have an active registration with the Florida Department of State, Division of Corporations (▇▇▇.▇▇▇▇▇▇.▇▇▇), or, if exempt from the registration requirements, provide the Department with the basis for such exemption.
