The parties hereto entered into an Amended and Restated Programme Agreement dated 22 July 2024 (the “Prior Programme Agreement”) in respect of a €10,000,000,000 Euro Medium Term Note Programme.
All Global Notes shall be prepared, completed and delivered to a common depositary (in the case of a CGN) or common safe-keeper (in the case of a NGN) for Euroclear and Clearstream, Luxembourg in accordance with the provisions of the Programme Agreement or to another appropriate depositary in accordance with any other agreement between the relevant Issuer and the relevant Dealer(s) and, in each case, the Agency Agreement.
Unless otherwise agreed between the Trustee, the Bank and the Relevant Dealer(s) (as defined in the Programme Agreement), as the case may be, or unless the Principal Paying Agent is the Calculation Agent (in which case the provisions of this Agreement shall apply), those determinations shall be made on the basis of the Calculation Agent appointment letter substantially in the form of Schedule 2.
For the duration of their temporary membership the Temporary Members have to accept and sign this Observations Programme Agreement as Temporary Members.
Notes up to a maximum nominal amount (calculated in accordance with Clause 3(5) of the Programme Agreement (as defined below)) from time to time outstanding of €12,000,000,000 (originally €2,500,000,000 and subsequently increased from time to time, most recently to €12,000,000,000 as of 13 May 2025) (subject to further increase as provided in the Programme Agreement) (the Programme Limit) may be issued pursuant to the said Programme.
