The Dealer Managers (in their capacity as Dealer Managers) shall have no liability or obligation to the Company with respect to any failure by a Holder to comply with, or any breach by any Holder of, any of the obligations of such Holder under this Agreement.
In such case involving the Dealer Managers and Persons who control the Dealer Managers, such firm shall be designated in writing by the Lead Dealer Managers.
The Company and the Guarantors shall inform the Dealer Managers of the names and addresses of the Holders to whom the Exchange Offer is made, and the Dealer Managers shall have the right, subject to applicable law, to contact such Holders and otherwise facilitate the tender of Registrable Securities in the Exchange Offer.
The Holders shall be third party beneficiaries to the agreements made hereunder among the Company and the Guarantors, on the one hand, and the Dealer Managers, on the other hand, and shall have the right to enforce such agreements directly to the extent it deems such enforcement necessary or advisable to protect its rights or the rights of Holders hereunder.
The Dealer Managers, however, agree that, if the amount of the euros purchased exceeds the amount originally to be paid to the Dealer Managers, the Dealer Managers will reimburse the excess to the Republic.
