Compliance Records definition

Compliance Records means complete and accurate records of, and supporting documentation for, all costs, charges, payments and transactions, including receipts, reports, filings, analyses, data (including electronic data and emails) and/or any other information created, collected, processed or stored by any member of the SUPPLIER GROUP in connection with the CONTRACT, together with such further documentary evidence demonstrating compliance with ANTI-BRIBERY AND CORRUPTION LAWS.
Compliance Records shall have the meaning assigned to it in Section 6.6.
Compliance Records has the meaning set forth in Section 7.9(a)(i).

More Definitions of Compliance Records

Compliance Records means records created or generated by or for each Party during the Term and related to the sale, promotion or marketing of the Product, any disease state or scientific engagement activities related to hypogonadism in males or any activities conducted under this Agreement, including applicable (a) Compliance Committee meeting minutes, (b) compliance hotline complaints, inquiries, and responses thereto, (c) Promotion Materials, (d) Scientific Materials, (e) sales representative call notes and call logs; (f) documents related to interactions with healthcare professionals or Product customers; (g) customer contracts; (h) service arrangements; (i) contracts and payment terms related to relationships with healthcare professionals; or (j) results of compliance audits or investigations, whether internal or external.
Compliance Records means complete and accurate records of, and supporting documentation for, all costs, charges, payments and transactions, including receipts, reports, filings, analyses, data (including electronic data and emails) and/or any other information created, collected, processed or stored by any member of Contractor Group in connection with the Contract, together with such further documentary evidence demonstrating compliance with Applicable Corruption Laws. “Consequential Loss” means: (a) consequential or indirect loss under English law; and (b) loss and/or deferral of production, loss of product, loss of use, loss of revenue, profit or anticipated profit (if any), in each case whether direct or indirect to the extent that these are not included in sub-Clause (a) of this definition and whether or not foreseeable at the date of entering into the Contract. “Contractor Items” means the Equipment and the Materials. “Contractor Group” means: (a) Contractor and its Affiliates; (b) Subcontractors and their Affiliates; (c) the Personnel; and (d) to the extent not included in sub-Clause (c) of this definition, the respective agents, directors, officers, employees, consultants and agency personnel of the persons included in sub-Clauses
Compliance Records means records sufficient to prove compliance with the Licensee's obligations under this Annex A, including without limitation records of the numbers of copies of all Paper Copies made;
Compliance Records shall have the meaning set forth in Section 3.8.

Related to Compliance Records

  • Compliance Review means an inspection of the home, grounds, and files to determine compliance with these regulations.

  • Compliance Report means, as applicable in relation to the test being conducted, a report containing the results of the Compliance Tests carried out by State Street.

  • Compliance Department means the Chief Compliance Officer of Federated and those other individuals designated by him or her as responsible for implementing this Code and the Associated Procedures.

  • Compliance Statement is that certain statement in the form attached hereto as Exhibit B.

  • Collection Records means all manually prepared or computer generated records relating to collection efforts or payment histories with respect to the Receivables.

  • Electronic and Information Resources Accessibility Standards means the accessibility standards for electronic and information resources contained in 1 Texas Administrative Code Chapter 213.

  • Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.

  • Criminal history record information means records and data collected by criminal justice agencies

  • Educational records means: those official records, files, and data directly related to a student and maintained by the school or local education agency, including but not limited to records encompassing all the material kept in the student's cumulative folder such as general identifying data, records of attendance and of academic work completed, records of achievement and results of evaluative tests, health data, disciplinary status, test protocols, and individualized education programs.

  • Environmental Information Regulations means the Environmental Information Regulations 2004 and any guidance and/or codes of practice issued by the Information Commissioner or relevant government department in relation to such regulations.

  • Student Records Means both of the following: (1) Any information that directly relates to a student that is maintained by LEA and (2) any information acquired directly from the student through the use of instructional software or applications assigned to the student by a teacher or other LEA employee. For the purposes of this Agreement, Student Records shall be the same as Educational Records, and Covered Information, all of which are deemed Student Data for the purposes of this Agreement. Service Agreement: Refers to the Contract or Purchase Order to which this DPA supplements and modifies.

  • Compliance Audit means the procedure (in a form advised by the GLA from time to time) by which an auditor independent of the Grant Recipient certifies (at the Grant Recipient's cost) whether the Named Projects developed or Rehabilitated pursuant to this Agreement satisfy the GLA's procedural compliance requirements (as described in the Affordable Housing Capital Funding Guide);

  • Transferred Books and Records has the meaning set forth in Section 1.1(f).

  • Environmental Compliance Reserve means any reserve which the Agent establishes in its reasonable discretion after prior written notice to the Borrower from time to time for amounts that are reasonably likely to be expended by the Borrower in order for the Borrower and its operations and property (a) to comply with any notice from a Governmental Authority asserting material non-compliance with Environmental Laws, or (b) to correct any such material non-compliance identified in a report delivered to the Agent and the Lenders pursuant to Section 7.7.

  • confidential records means those portions of correspondence, memoranda, files, manuals, books, lists, financial, operating or marketing records, magnetic tape, or electronic or other media or equipment of any kind in Executive’s possession or under Executive’s control or accessible to Executive which contain any proprietary information. All confidential records shall be and remain the sole property of the Company during the Term and thereafter.

  • Criminal records data means information about an individual's criminal convictions and offences, and information relating to criminal allegations and proceedings.

  • Trading Compliance Policy means the written policy of the Company pertaining to the purchase, sale, transfer or other disposition of the Company’s equity securities by Directors, Officers, Employees or other service providers who may possess material, nonpublic information regarding the Company or its securities.

  • Records means any written or recorded information, regardless of physical form or characteristics, which is produced or acquired by the Party in the performance of this agreement. Records produced or acquired in a machine readable electronic format shall be maintained in that format. The records described shall be made available at reasonable times during the period of the Agreement and for three years thereafter or for any period required by law for inspection by any authorized representatives of the State or Federal Government. If any litigation, claim, or audit is started before the expiration of the three-year period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved.

  • Inspection Report means the report delivered by the Master Servicer or the Special Servicer, as the case may be, substantially in the form of Exhibit L hereto.
