Company Bonus Payments definition

Company Bonus Payments means all payments to any employee of the Company as a result of, or related to, the consummation of any portion of the Transactions and as identified in the Estimated Closing Statement (or that should have been listed in the Estimated Closing Statement). Unless paid prior to Closing, the Parties acknowledge that the Company Bonus Payments will include, without limitation, (i) any payments due and owing to certain employees of the Company in accordance with the terms set forth in the APP Plans (as amended from time to time), (ii) the discretionary bonuses to other employees contemplated in Schedule 7.1(e), and (iii) any discretionary bonus accrued and owed to Xxxxx Xxxxxx through the Closing).
Company Bonus Payments means all payments to any employee or contractor of the Company Group as a result of, or related to, the consummation of the transactions contemplated hereby including those identified on Schedule 2.8.
Company Bonus Payments has the meaning specified in Section 5.21.

Company Bonus Payments means (i) the bonus payments adopted by the Company prior to the Closing payable to then-active employees of the Cobalt Companies as of immediately prior to the Closing, in the amounts specified in Schedule 2.2(a)(4), but excluding any such person and corresponding amount specified in such Schedule if such person is not an employee of the Cobalt Companies as of immediately prior to the Closing, together with (ii) the employer portion of any payroll, social security, unemployment or similar Tax and any applicable associated costs (including workers compensation and 401k match) in respect of such payments.
