Commercial Operation Milestone definition

Commercial Operation Milestone means the date set forth for the Commercial Operation Milestone specified in Exhibit B-Construction Milestones.
Commercial Operation Milestone the Major Milestone for the Commercial Operation Date. The Commercial Operation Milestone is specified in Exhibit C, subject to the provisions of this Agreement for extensions and modifications. “Commercial Operation Year” – any consecutive twelve (12) month period, during the Term of this PPA, commencing at 12:01 a. m. on the first day of the first month following the last Commercial Operation Date and ending at 11:59 p. m. on the last Day of the corresponding calendar month or any anniversary thereof.

Examples of Commercial Operation Milestone in a sentence

  • Within five (5) Business Days of the completion of each Milestone (except for the Commercial Operation Milestone which certification is described in subsection (d) above), Seller shall provide a certification to Buyer (along with any relevant supporting documentation), stating Seller’s achievement or satisfaction of each such Milestone.

More Definitions of Commercial Operation Milestone

Commercial Operation Milestone. Commercially Operable” means, with respect to the Facility, a condition occurring after such time as mechanical completion has occurred, commissioning is complete, the Facility has been released by the EPC contractor to Seller for commercial operations, and permission to operate has been formally obtained from the applicable transmission or distribution utility If Seller anticipates that it will not be able to timely satisfy a Critical Milestone or the Commercial Operation Milestone, Seller shall submit to Buyer no later than thirty (30) days prior to the relevant deadline a remedial action plan (“Remedial Action Plan”), which will describe in detail the actual delay, any anticipated delay beyond the scheduled deadline, the cause of the delay, and Seller’s proposed course of action to achieve the missed deadline, any subsequent Critical Milestones, and the Commercial Operation Date by the Expected Commerical Opeation Date. So long as Seller complies with its obligation to deliver a Remedial Action Plan, Seller shall not be considered in default of its obligations under the Agreement solely as a result of failing to timely satisfy a Critical Milestone. In the event Seller misses any Critical Milestones and cannot reasonably demonstrate a plan for completing the Facility by the Guaranteed COD, Buyer shall have the right to terminate the PPA and retain the Development Security as damages, in addition to any other remedies it may have at law or equity. Expected Commercial Operation Date: Seller reasonably expects to achieve Commercial Operation by the following date [_______] (the “Expected Commercial Operation Date”).
Commercial Operation Milestone means the Construction Milestone for the Commercial Operation Date. The Commercial Operation Milestone is specified in Exhibit A as December 31, 2015.

Related to Commercial Operation Milestone

  • Commercial Operation means the condition of operation in which the complete equipment covered under the Contract is officially declared by the Owner to be available for continuous operation at different loads up to and including rated capacity. Such declaration by the Owner, however, shall not relieve or prejudice the Contractor of any of his obligations under the Contract.

  • Commercial Operation Date means the date on which a Material Project is substantially complete and commercially operable.

  • Project Milestone means the project milestone set forth in Schedule-J;

  • Commercial Operations Upon satisfaction of the following conditions, the Facility shall be considered to have achieved Commercial Operations on the Day specified in Seller's written notice described below: (i) the Acceptance Test has been passed, (ii) all generating units have passed Control System Acceptance Tests, (iii) the Transfer Date has occurred, (iv) Seller has (1) provided to Company the Required Models (as defined in Section 6(a) (Seller's Obligation to Provide Models) of Attachment B (Facility Owned by Seller)) in the form of Source Code, (2) placed the current version of the Source Code for the Required Models with the Source Code Escrow Agent as required in Section 6(b)(i)(A) (Establishment of Source Code Escrow) of Attachment B (Facility Owned by Seller), or (3) if Seller is unable to arrange for the placement of the appropriate Source Code into the Source Code Escrow account, placed the required funds with the Monetary Escrow Agent as required in Section 6(b)(ii)(A) (Establishment of Monetary Escrow) of Attachment B (Facility Owned by Seller), and (v) Seller provides Company with written notice that (aa) Seller is ready to declare the Commercial Operations Date and (bb) the Commercial Operations Date will occur within 24 hours (i.e., the next Day).

  • Commercial Operator means the person appointed by MDL as commercial operator of the Maui Pipeline from time to time.

  • Commercial Operation Date (COD) means the date certified by the DISCOM’s committee upon successful commissioning (as per provisions of the PPA) of the project when all equipments as per rated capacity have been installed and energy has flown into the grid.

  • Sales Milestone Payment is defined in Section 5.3.
