Capital Contribution Balance definition

Capital Contribution Balance means the balance of each Partner’s Capital Contributions as recorded from time to time in the relevant Partner’s Capital Account Ledger;
Capital Contribution Balance means the balance of each Member's Capital Contributions as recorded from time to time in the relevant Member's Capital Account Ledger; Capital Contribution in Kind means a contribution of Loans and their Related Security to the LLP in an amount equal to (a) the Outstanding Principal Balance of those Loans as at the relevant Assignment Date minus (b) any cash payment paid by the LLP for the Loans and their Related Security on that Assignment Date, together with (i) the principal amount of all Flexible Loan Drawings and Further Advances in respect of such Loans which are funded by the Seller as a Member of the LLP and (ii) Capitalised Arrears added to the principal amount outstanding of such Loans;
Capital Contribution Balance means with respect to any Member the aggregate Capital Contributions made by such Member, plus an amount corresponding to interest thereon at an annual rate of twelve percent (12%) from the date(s) such Capital Contributions are made until the Option Closing Date. The parties acknowledge that the definition of Capital Contribution Balance is only used in connection with the determination of Fair Market Value of Feld's Interest.

More Definitions of Capital Contribution Balance

Capital Contribution Balance means, as to each Member, the amount of the aggregate capital contributions made by such Member from time to time, reduced by all cash distributions to such Member other than (i) distributions of Cash Flow pursuant to Section 6.5 hereof and (ii) the repayment of, or any payment of interest on, any Contribution Loans or any loans to the Company made by such Member.
