The certificates representing the Option Units to be delivered will be in such denominations and registered in such names as the Representative requests not less than two (2) full Business Days prior to the Closing Date or the Option Closing Date, as the case may be, and will be made available to the Representative for inspection, checking and packaging at the aforesaid office of the Company’s transfer agent or correspondent not less than one (1) full Business Day prior to such Closing Date.
Until the Option Closing Date, if any, the Company shall advise the Representative if it is aware that any 10% or greater shareholder of the Company becomes an affiliate or associated person of a FINRA member participating in the distribution of the Public Securities.
On the Closing Date and the Option Closing Date, as applicable, the Private Units have been purchased as provided for in the Purchase Agreements and a portion of the purchase price for such securities shall be deposited into the Trust Account.
The representations and warranties contained herein shall survive the Closing Date and the Option Closing Date, if any, and the delivery of the Firm Shares and, if any, the Option Shares for a period of two (2) years after the Closing Date and the Option Closing Date, if any.
If such delivery and payment for the Option Shares does not occur on the Closing Date, each Option Closing Date will be as set forth in the notice.
