BHC Investor is defined as a Subscriber that is a bank holding company, as defined in Section 2(a) of the Bank Holding Company Act of 1956, as amended (the “BHC Act”), a non-bank subsidiary (for purposes of the BHC Act) of a bank holding company, a foreign banking organization, as defined in Regulation K of the Board of Governors of the Federal Reserve System (12 C.F.R. § 211.23) or any successor regulation, or a non-bank subsidiary (for purposes of the BHC Act) of a foreign banking organization which subsidiary is engaged, directly or indirectly in business in the United States and which in any case holds Shares for its own account. BHC Investor means a Member that is (i) subject to the BHCA, (ii) is designated as a systematically important financial institution under the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act; or (iii) is directly or indirectly "controlled" (as that term is defined in the BHCA) by a company that is subject to the BHCA or the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act.

BHC Investor means a Limited Partner that (a) is subject to the BHC Act or is directly or indirectly "controlled" (as the term is defined in the BHC Act) by a company that is subject to the BHC Act, and (b) so indicates in its subscription agreement or otherwise in writing to the Management Company on or before the closing date at which such Investor is admitted to the Fund. BHC Investor Regulatory Problem means, with respect to any BHC Investor, any set of facts, events or circumstances, the existence of which would cause such BHC Investor to believe that there is a substantial risk that such BHC Investor is or would be in violation of any law, regulation, rule or other requirement of any government authority, including the BHC Act, without regard to section 4(k) thereof unless such BHC Investor is holding its interest pursuant to section 4(k).
