As of the date of this Agreement, the Financing Commitments are in full force and effect and constitute valid, binding and enforceable obligations of the Buyer (or, in the case of the Equity Financing Commitment, the Equity Investor) and, to the knowledge of the Buyer, each other party thereto, in each case, subject to General Principles of Law, Equity and Public Policy.
As of the date of this Agreement, the Limited Guarantee is in full force and effect and constitutes a valid and binding obligation of the Equity Investor, enforceable against it in accordance with its terms and conditions, and no event, fact or circumstance has occurred that, with notice or lapse of time or both, would reasonably be expected to result in a breach of, or a default under, the Limited Guarantee (subject to General Principles of Law, Equity and Public Policy).
