Available Collections Amount definition

Available Collections Amount means, for any Payment Date, the sum of (a) the amount of Dollars on deposit in the Collection Account as of the Calculation Date preceding such Payment Date and (b) the amount of any investment income on amounts on deposit in the Accounts (other than the Capital Account) as of such Calculation Date.

Available Collections Amount. As of any Payment Date, the amount of funds remaining after making the distributions required by clauses (1) through (5) of Section 2.9(a).

Available Collections Amount means, for any Payment Date, the amount of Collections in the Collections Account as of the close of business on the last day of the immediately preceding calendar month, plus or minus, as applicable, the aggregate amount of all transfers to be made to or from the Collections Account pursuant to the Master Indenture during the period beginning on the related Determination Date and ending on such Payment Date.

• On the date of any Refinancing, the Issuer shall issue and sell an aggregate principal amount of Refinancing Notes (when added to the Available Collections Amount to be used in connection with such Refinancing) resulting in proceeds in an amount sufficient to pay in full the applicable Redemption Price of the Notes being refinanced in whole thereby plus the Refinancing Expenses relating thereto.

• All rights of a counterparty underthis chapter shall apply to netting agreements and qualified financial contracts entered into on behalf of the general account or separate accounts, provided that the assets of each separate account are available only to counterparties to netting agreements and qualified financial contracts entered into on behalf of that separate account.

• The fee to be paid for the Servicer’s performance of the services to be performed under this Servicing Agreement (“Servicing Fee”) is equal to $25,000 per calendar quarter, payable out of the Available Collections Amount in accordance with the terms of the Indenture, which the Servicer and the Issuer agree is fair consideration for the services to be performed under this Servicing Agreement as agreed at arm’s length by the Servicer and the Issuer.

• The Issuer will pay the Outstanding Principal Balance of this Note on or prior to the Final Legal Maturity Date on the Payment Dates specified in the Indenture, subject to the availability of the Available Collections Amount therefor after making payments entitled to priority under Section 3.7 of the Indenture.

• The application of the Class C Distributions (as part of the Available Collections Amount), together with the investment earnings on funds on deposit in the Collection Account to principal payments on any Original Notes (or any Refinancing Notes in respect of the Original Notes) pursuant to the Priority of Payments shall not be treated as an Optional Redemption under this Indenture.

Available Collections Amount means, for any Payment Date, the amount of Collections in the Collections Account as of the Determination Date for such Payment Date, plus or minus, as applicable, the aggregate amount of all transfers to be made to or from the Collections Account pursuant to the Master Indenture, a Hedge Agreement or a Liquidity Facility during the period beginning on such Determination Date and ending on such Payment Date (including transfers from the Liquidity Reserve Account, the Expense Account or the Optional Reinvestment Account pursuant to Sections 3.04, and 3.05, respectively, and including any Servicer Advance), but at any time prior to an Event of Default, excluding any Net Disposition Proceeds deposited in the Collections Account (other than any amounts transferred to the Optional Reinvestment Account pursuant to Section 3.05).

Available Collections Amount means, for any Payment Date, the sum of (a) the amount of Dollars on deposit in the Collection Account as of the Calculation Date preceding such Payment Date and (b) the amount of any investment income on amounts on deposit in the Accounts as of such Calculation Date.

Available Collections Amount means, as of any Calculation Date, amounts on deposit in the Collection Account less the Required Expense Amount determined as of such date.

Available Collections Amount means, as of any Payment Date, the sum of (a) the amount on deposit in the Collection Account as of the Calculation Date immediately preceding such Payment Date, (b) the amount of any net investment income on amounts in the Accounts as of such Calculation Date, (c) the amount of any Hedge Receipts due on such Payment Date and (d) with respect to periods following the Discharge of First Lien Obligations, the amount in the Holding Account as of such Calculation Date to be transferred to the Collection Account on such Payment Date if (i) an Event of Default under the Indenture has occurred and is continuing, (ii) the Interest Coverage Ratio for such Payment Date is not equal to or greater than the specified ratio for such Payment Date as set forth in Section 3.11 (as determined pursuant to Section 3.5), (iii) on or after June 15, 2008, the Patent Extension Event has not occurred or (iv)(x) the Trustee has received written notice from Noteholders of at least 25% of the Outstanding Principal Balance of the Class A Notes that a Material Adverse Development has occurred and (y) the Trustee has not received further written notice from Noteholders of a majority of the Outstanding Principal Balance of the Class A Notes that such Material Adverse Development has ended or is no longer applicable.
