Your Expenses. The Company shall reimburse you only for reasonable out-of-pocket expenses, other than legal expenses, directly related to your Services hereunder and that would not otherwise be incurred by you if this Agreement did not exist. Expenses that will be reimbursed by the Company include reasonable expenses relating to your traveling, lodging, meals, postage and other expenses relating to your providing Services to the Company and upon submission of appropriate documentation. The Company shall not reimburse you for the cost of any subcontractors or employees you may retain to assist you in providing Services hereunder unless approved in advance in writing by the Company.

Your Expenses. Disbursements (that are yours to pay but that will initially be incurred by us on your behalf) These may include, but aren't limited to, fees paid to experts for expert reports, court fees, or any fees paid to barristers for representing you. We will consult you or the Claimant Committee once it is established before incurring any substantial disbursement.
Your Expenses. Company agrees that it will reimburse You for all reasonable business expenses incurred by You during the term of Your employment hereunder, provided that such expenses be incurred in connection with the performance by You of Your duties hereunder and are incurred and accounted for by You in accordance with Company’s policies as established for its employees. For travel expenses, the level of reimbursement shall include First Class domestic and international travel.
Your Expenses. You shall be responsible for paying any and all research fees, photographing and cataloging fees, and all customs, duties and other costs connected with transporting the Property to our facilities and/or preparing or cleaning and shipment of the Property. In the event the Property fails to sell, is withdrawn by us, or a sale is rescinded, you will be responsible for additional expenses as provided for at Paragraphs 10, 11 and 12 of this Agreement. Any other expenses shall be subject to your approval, which shall not to be unreasonably withheld. In addition to other remedies available to us by law, we reserve the right to impose a late charge of 1% per month or the maximum lawful rate, whichever is greater on any amount due to us and unpaid for more than fifteen (15) calendar days after we notify you, and you shall pay any and all costs of collection including, without limitation, third party collection costs, our attorneys' fees and court and/or arbitration costs.
Your Expenses. Converge Forward will not reimburse Rooting Recipients for expenses. If you choose to spend money to help you promote your fundraising by way of purchases of the Training, you are responsible for that expense.

Related to Your Expenses

  • Payment of Employment Taxes and Other Expenses Should City, in its discretion, or a relevant taxing authority such as the Internal Revenue Service or the State Employment Development Division, or both, determine that Contractor is an employee for purposes of collection of any employment taxes, the amounts payable under this Agreement shall be reduced by amounts equal to both the employee and employer portions of the tax due (and offsetting any credits for amounts already paid by Contractor which can be applied against this liability). City shall then forward those amounts to the relevant taxing authority. Should a relevant taxing authority determine a liability for past services performed by Contractor for City, upon notification of such fact by City, Contractor shall promptly remit such amount due or arrange with City to have the amount due withheld from future payments to Contractor under this Agreement (again, offsetting any amounts already paid by Contractor which can be applied as a credit against such liability). A determination of employment status pursuant to the preceding two paragraphs shall be solely for the purposes of the particular tax in question, and for all other purposes of this Agreement, Contractor shall not be considered an employee of City. Notwithstanding the foregoing, Contractor agrees to indemnify and save harmless City and its officers, agents and employees from, and, if requested, shall defend them against any and all claims, losses, costs, damages, and expenses, including attorneys’ fees, arising from this section.

  • COMPENSATION; EXPENSES (a) In consideration of the foregoing, the Advisor shall pay the Sub-advisor, with respect to the Fund, a fee as specified in Appendix B hereto. Such fees shall be accrued by the Advisor daily and shall be payable monthly in arrears on the first business day of each calendar month for services performed hereunder during the prior calendar month. If fees begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to the Fund, the Advisor shall pay to the Sub-advisor such compensation as shall be payable prior to the effective date of termination.

  • ALPS Compensation; Expenses (a) ALPS will bear all expenses in connection with the performance of its services under this Agreement, except as otherwise provided herein. ALPS will not bear any of the costs of Fund personnel. Other Fund expenses incurred shall be borne by the Fund or the Fund’s investment adviser, including, but not limited to, initial organization and offering expenses; the blue sky registration and qualification of Shares for sale in the various states in which the officers of the Fund shall determine it advisable to qualify such Shares for sale (including registering the Fund as a broker or dealer or any officer of the Fund as agent or salesman in any state); litigation expenses; taxes; costs of preferred shares; expenses of conducting repurchase offers for the purpose of repurchasing Fund shares; administration, transfer agency, and custodial expenses; interest; Fund directors’ or trustees’ fees; brokerage fees and commissions; state and federal registration fees; advisory fees; insurance premiums; fidelity bond premiums; Fund and investment advisory related legal expenses; costs of maintenance of Fund existence; printing and delivery of materials in connection with meetings of the Fund’s directors or trustees; printing and mailing of shareholder reports, prospectuses, statements of additional information, other offering documents and supplements, proxy materials, and other communications to shareholders; securities pricing data and expenses in connection with electronic filings with the U.S. Securities and Exchange Commission (the “SEC”).

  • Reimbursable Expenses If the Compensation Table set forth in Attachment C of this Approved Service Order states that the City will reimburse the Consultant for expenses, then only the expenses identified in Subsection 10.5.3 of the Master Agreement are Reimbursable Expenses unless the following box is marked and additional reimbursable expenses are set forth: In addition to the expenses identified in Subsection 10.5.3 of the Master Agreement, the following expenses are Reimbursable Expenses: Additional Reimbursable Expense(s) Mark-up

Except as otherwise provided in the Grant Agreement, no ancillary expenses incurred by the Grantee in connection with its provision of the services or deliverables will be reimbursed by the System Agency.
