In accordance with the XxxXxxxx Fair Employment Principles (Chapter 807 of the Laws of 1992), the Contractor hereby stipulates that the Contractor either (a) has no business operations in Northern Ireland, or (b) shall take lawful steps in good faith to conduct any business operations in Northern Ireland in accordance with the XxxXxxxx Fair Employment Principles (as described in Section 165 of the New York State Finance Law), and shall permit independent monitoring of compliance with such principles.

If the amount payable to Contractor under this Agreement is greater than $15,000, Contractor hereby certifies that it and/or any individual or legal entity in which it holds a 10% or greater ownership interest, and any individual or legal entity that holds a 10% or greater ownership in it, either have no business operations in Northern Ireland; or shall take lawful steps in good faith to conduct any business operations they have in Northern Ireland in accordance with the XxxXxxxx Fair Employment Principles relating to nondiscrimination in employment and freedom of workplace opportunity regarding such operations in Northern Ireland, as set forth in New York State Finance Law Article XI Section 165(5), and shall permit independent monitoring of their compliance with such Principles.

In accordance with Section 165(5) of the New York State Finance Law, as a condition of the award of the Contract, where the Contract is for the supply of commodities, services or construction, the Design-Builder must certify that it or any individual or legal entity in which the Design-Builder holds a 10% or greater ownership interest, or any individual or legal entity that holds a 10% or greater ownership in the Design-Builder either (1) has no business operations in Northern Ireland; or (2) shall make lawful steps in good faith to conduct any business operations that it has in Northern Ireland in accordance with the XxxXxxxx Fair Employment Principles, relating to nondiscrimination in employment and freedom of workplace opportunity regarding such operations in Northern Ireland, and shall permit independent monitoring of their compliance with such principles by MTA and/or its designee. Failure of the Design-Builder to provide the required certification contained in the Invitation for Bid/Request for Proposal/Contract Documents shall render the Design-Builder ineligible for award of the Contract pursuant to Section 165(5)(b) of the New York State Finance Law.
