Work Orders and Deficiencies. To the best knowledge of the Vendor, there are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relative to the Leased Premises, the other properties and assets of the Corporation or the Business which have been issued by any police or fire department, sanitation, environment, labour, health or other Governmental Authorities. There are no matters under discussion with any such department or authority relating to work orders, non-compliance orders, deficiency notices or other such notices. The Business is not being operated in a manner which is in contravention of any statute, regulation, rule, code, standard, policy or other Applicable Law.

There are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relative to the Real Properties, the Leased Premises, the other properties and assets of the Corporation or the Business which have been issued by any regulatory authority, police or fire department, sanitation, environment, labour, health or other governmental authorities or agencies. There are no matters under discussion with any such department or authority relating to work orders, non-compliance orders, deficiency notices or other such notices. The Business is not being carried on, and none of the Real Properties, the Leased Premises or the other properties or assets of the Corporation are being operated in a manner which is in contravention of any statute, regulation, rule, code, standard or policy. No amounts are owing by the Corporation in respect of the Real Properties or the Leased Premises to any governmental authority or public utility, other than current accounts which are not in arrears.

To the knowledge of the Vendors and the Covenantors, there are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relating to the Leased Premises, the other properties and assets of the Group or the Business that have been issued by any regulatory authority, police or fire department, sanitation, environment, labour, health or other governmental authorities or Governmental Agencies. To the knowledge of the Vendors and the Covenantors, there are no matters under discussion with any such department, authority or Governmental Agency relating to work orders, non-compliance orders, deficiency notices or other such notices. The Business is not being carried on, and none of the Leased Premises or the other properties or assets of the Vendors and/or Group are being operated, in a manner that is in contravention of any statute, regulation, rule, code, standard or policy, except for contraventions which are not, in the aggregate, materially adverse to the Business. No material amounts are owing by the Group in respect of the Leased Premises to any Governmental Agency or public utility, other than current accounts, which are not in arrears.

There are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relative to the Properties or the business of Calipuy or its Subsidiaries which have been issued by any police or fire department, sanitation, environment, labour, health or other Governmental Authorities. There are no matters under discussion with any such department or authority relating to work orders, non-compliance orders, deficiency notices or other such notices. The business of Calipuy and its Subsidiaries is not being operated in a manner which is in contravention of any statute, regulation, rule, code, standard, policy or other Applicable Law.

To the Corporation’s knowledge, there are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relating to the Leased Premises which have been issued by any Governmental Authority including any police or fire department, sanitation, environment, labour or health department, and there are no matters under discussion between the Corporation and any Governmental Authority relating to work orders, non-compliance orders, deficiency notices or other such notices, except as set forth in Schedule 3.4(4) of the Disclosure Letter.

There are no outstanding work orders, non-compliance orders, deficiency notices or other similar notices issued by any Governmental Authority relating to the Leased Premises, Owned Real Property or the Business, and nor is the Corporation or any of its Subsidiaries or any of the Vendors in discussion with any Governmental Authority relating to such work orders, non-compliance orders, deficiency notices or other similar notices. None of the Leased Premises, Owned Real Property or other Assets are being operated in a manner that is not in compliance with any Law. No amounts are owing by the Corporation or any of its Subsidiaries in respect of the Leased Premises or Owned Real Property to any Governmental Authority or public utility, other than current accounts which are not in arrears and the details of which are described in Section 3.37 of the Disclosure Letter.

The Vendor has not received any written work orders, non-compliance orders, deficiency notices or other such notices relative to the Leased Premises, the Purchased Assets or the Business which have been issued by any regulatory authority, police or fire department, sanitation, environment, labour, health or other Governmental Agency, which would be material to the Business and remain outstanding as at the date hereof. There are no matters under discussion between the Vendor and any such department or authority relating to work orders, non-compliance orders, deficiency notices or other such notices. The Business is not being carried on, and none of the Leased Premises or other Purchased Assets are being operated, in a manner which is in contravention in any material respect of any statute, regulation, rule, code, standard or policy. No amounts are owing by the Vendor in respect of the Leased Premises to any Governmental Agency or public utility, other than current accounts which are not in arrears.
