Waiver of Claims and Assumption of Risks. Lessor and Tenant release each other from any liability for loss or damage by fire or other casualty that may be insured under a standard form of "all risk" insurance policy, whether or not the loss or damage resulted from the negligence of the other, its agents or employees. Each party will use reasonable efforts to obtain policies of insurance which provide that this release will not adversely affect the rights of the insureds under the policies. The releases in this Section will be effective whether or not the loss was actually covered by insurance. Tenant assumes all risk of loss or damage of Tenant's property within the Premises, including any loss or damage caused by sprinkler or other water leakage, fire, windstorm, explosion, theft, act of any other tenant, or other cause. Lessor will not be liable to Tenant, or its employees, for loss of or damage to any property in the Premises.

Waiver of Claims and Assumption of Risks. Tenant hereby expressly releases Landlord, its officers, servants, agents or employees from any claim or cause of action for any loss or damage whatsoever to the Premises or Tenant's property therein or business conducted therefrom arising out of any negligence or alleged negligence of the Landlord, its officers, servants, agents or employees resulting in any fire, smoke, explosion or other insurable perils in the Building or Premises. It is the intention of the parties that the Tenant shall look only to its insurance carrier, if any, for payment of such loss. This shall apply specifically, but not exclusively, to damages caused by sprinkling devices, heating and air conditioning apparatus, water, snow, frost, steam, excessive heat or cold, falling plaster, broken glass, sewage, gas, odor or noise, or the bursting or leaking of pipes, plumbing fixtures or the roof or walls of the Building. No abatement, diminution or reduction of the Rent or other charges required to be paid by Tenant pursuant to the terms of this Lease, shall be claimed by, or allowed to, Tenant for any inconvenience, interruption, cessation or loss of rents, or for any other damage or injury caused directly or indirectly by, or resulting from any present or future laws, rules, requirements, orders, directives, ordinances or regulations of the United States or any state, county, municipal or other local government, or of any other governmental board, body, agency or authority whatsoever, or by priorities, rationing or curtailment of labor or materials, or by war, civil commotion, lockouts, strikes or riots, or any matter or thing resulting therefrom, or by any other cause of causes beyond the control of Landlord, nor shall this Lease be affected by any such causes or events. Tenant shall not release Lessor from any liability for loss or damage as a result of any breach of Lessor’s representations and warranties as set forth in Sections 3 and 14 herein.

  • Assumption of Risks The Borrower assumes all risks of the acts or omissions of any beneficiary of any Letter of Credit or any transferee thereof with respect to its use of such Letter of Credit. In addition, neither the Issuing Bank, the Administrative Agent nor any Lender shall be responsible for any error, neglect, or default of any of the Issuing Bank’s correspondents; and none of the above shall affect, impair or prevent the vesting of any of the Issuing Bank’s, the Administrative Agent’s or any Lender’s rights or powers hereunder or under the Letter of Credit Agreements, all of which rights shall be cumulative. The Issuing Bank and its correspondents may accept certificates or other documents that appear on their face to be in order, without responsibility for further investigation of any matter contained therein regardless of any notice or information to the contrary. In furtherance and not in limitation of the foregoing provisions, the Borrower agrees that any action, inaction or omission taken or not taken by the Issuing Bank or by any correspondent for the Issuing Bank in good faith in connection with any Letter of Credit, or any related drafts, certificates, documents or instruments, shall be binding on the Borrower and shall not put the Issuing Bank or its correspondents under any resulting liability to the Borrower.
