USER RESTRICTION. Not at any time to use the Demised Premises otherwise than for the purposes of the Prescribed Use
USER RESTRICTION. No Residential Unit shall be used for any purpose other than for private residential purpose and in particular shall not be used for any form of commercial letting in bed spaces or cubicles, and no Carpark's Units shall be used other than for the purpose of parking private motor vehicles or motor cycles (as the case may be) licensed under the Road Traffic Ordinance (Cap. 374), any regulations made thereunder and any amending legislation and the Carpark's Units shall not be used for the storage, display or exhibiting of motor vehicles for sale or otherwise or for the provision of car cleaning and beauty services and no structure or partitioning shall be erected thereon without the prior consent in writing of the Manager and only one (1) private motor vehicle shall be parked in each Residential Car Parking Space or Commercial Car Parking Space and only one (1) motorcycle shall be parked in each Residential Motorcycle Parking Space or Commercial Motorcycle Parking Space, SAVE AND EXCEPT that subject to Special Condition No.(7) of the Conditions, the First Owner may use the relevant part(s) of the Development as show flat(s) and/or sales office for such period or periods as it shall in its discretion consider appropriate subject to the Conditions.
USER RESTRICTION. 5.1 The Software and its associated electronic license file(s) may be removed from the workstation upon which it is first installed by the Licensee and may be transferred to another workstation for application development or for operation of the Software; provided that the Software and its associated license file(s) are completely removed from the initial workstation prior to installing on the second workstation and provided that the Licensee’s user identification information contained within the license file(s) remains accurate.
USER RESTRICTION. Licensee undertakes to use diligently the Software and, therefore, undertakes: • not to grant access to the Software to any third party or to employees of Licensee that due to their position in the company, should not reasonable access the Software; • not to access to the source code of the Software; • not to use the information, rules or instructions contained in the Software for purposes different than those established in this License; • not to disclose to any third party any of the information obtained through the Software; • not to permit the use of the Software to any third party without the previous authorization of NEMOTEC. • not to permit the public to access or use the Software (including without limitation, via the internet). For clarification purposes, access and/or use of data, information and/or output obtained and/or generated, either directly or indirectly, through the use of the Software are deemed to be access and/or use of the Software. Moreover, Licensee undertakes not to: • Reproduce the Software, in whole or in part, for any purposes; • Copy and/or distribute the Software, in whole or in part, by any manner; • Transfer the Software to any third party; • Assign, sell, rent, lease, lend, sublicense, outsource or otherwise transfer the Software to any third party, or authorize or appoint any third party to do so; • Modify the Software or provide any person with the means to do the same. This includes the creation of derivative works and to translate, disassemble, recompile, alter, destroy or reverse engineer the Software or attempt to do so, unless when expressly permitted by the applicable regulation; • Circumvent the technological protection measures incorporated in the Software. • In general, use the Software in a manner other than as specifically permitted in this License. Licensee shall be liable to NEMOTEC in respect of any breach of this License.

  • Transfer Restriction No Unreleased Shares or any interest or right therein or part thereof shall be liable for the debts, contracts or engagements of the Participant or his successors in interest or shall be subject to disposition by transfer, alienation, anticipation, pledge, encumbrance, assignment or any other means whether such disposition be voluntary or involuntary or by operation of law by judgment, levy, attachment, garnishment or any other legal or equitable proceedings (including bankruptcy), and any attempted disposition thereof shall be null and void and of no effect.

  • Transfer Restrictions If, at the time of the surrender of this Warrant in connection with any transfer of this Warrant, the transfer of this Warrant shall not be either (i) registered pursuant to an effective registration statement under the Securities Act and under applicable state securities or blue sky laws or (ii) eligible for resale without volume or manner-of-sale restrictions or current public information requirements pursuant to Rule 144, the Company may require, as a condition of allowing such transfer, that the Holder or transferee of this Warrant, as the case may be, comply with the provisions of Section 5.7 of the Purchase Agreement.

  • Lock-up; Transfer Restrictions (a) The Sponsor and the Insiders agree that they shall not Transfer any Founder Shares (the “Founder Shares Lock-up”) until the earliest of (A) one year after the completion of an initial Business Combination and (B) the date following the completion of an initial Business Combination on which the Company completes a liquidation, merger, share exchange or other similar transaction that results in all of the Company’s shareholders having the right to exchange their Ordinary Shares for cash, securities or other property (the “Founder Shares Lock-up Period”). Notwithstanding the foregoing, if, subsequent to a Business Combination, the closing price of the Ordinary Shares equals or exceeds $12.00 per share (as adjusted for share sub-divisions, share capitalizations, share consolidations, reorganizations, recapitalizations and the like) for any 20 trading days within a 30-trading day period commencing at least 150 days after the Company’s initial Business Combination, the Founder Shares shall be released from the Founder Shares Lock-up.

  • No Transfer Restrictions The Depositor has not created, incurred or suffered to exist any restriction on transferability of the Receivables except for the restrictions on transferability imposed by this Agreement. The transfer of the Receivables and the Receivable Files by the Depositor to the Issuer pursuant to this Agreement is not subject to the bulk transfer laws or any similar statutory provisions in effect in any applicable jurisdiction.

  • Use Restriction (a) If a natural disaster, incident or any other emergency situation occurs or is likely to occur, SORACOM may restrict the use of the SORACOM Air Global Service by the Subscriber in order to give priority to communications whose content are necessary for the prevention of or relief from calamities, for the securing of transportation, communications or electric power supply, the maintenance of public order or any other public interest.
