Upgrade Program. The Parties shall collaborate to offer an Upgrade --------------- Program that shall comprise a special discounted upgrade license, training, and sales/migration support (such as Microsoft Consulting Services). As part of the Upgrade Program, Microsoft will offer a standard Microsoft discounted Version Upgrade Product license ("VUP") to enable existing NetIQ OM or AM customers (the "Existing NetIQ Customers") to ease the upgrade to MOM. This VUP will be available for a period of two (2) years after the Street Date. Alternatively, if an Existing NetIQ Customer who has purchased up to one year of maintenance from NetIQ, on terms and conditions substantially similar to standard NetIQ maintenance contracts on the Effective Date, elects to use MOM as an alternative to some or all of its NetIQ products ("Replaced Products"), such Existing NetIQ Customer shall receive an upgrade to MOM and Microsoft maintenance for MOM for the remainder of such Existing NetIQ Customer's maintenance contract with NetIQ at no cost to the Existing NetIQ Customer, provided that such Existing NetIQ Customer enters into a maintenance contract with Microsoft for the remainder of the period otherwise covered by its existing NetIQ maintenance contract. Thereupon, NetIQ shall transfer to Microsoft the prorated, unused portion of the maintenance fees attributable to the Replaced Products paid by such Existing NetIQ Customers to NetIQ.
Upgrade Program. To the extent an ISC Contract evidencing an ISC Upgrade Receivable permits the Obligor to terminate the ISC Contract upon the trade-in of a qualifying device (the “Surrendered Device”) in accordance with the Upgrade Program, then, notwithstanding any other provision of, or failure to satisfy any condition under, the Transaction Documents (but only so long as no Event of Termination has occurred and is continuing), upon receipt of such Surrendered Device, the Servicer, on behalf of the Purchasers, shall deliver such Surrendered Device to or at the direction of the applicable Seller (whereupon the applicable Seller may distribute or otherwise transfer such Surrendered Device to the applicable Originator or another Affiliate) and such delivery shall fulfill both the Surrendered Device Return Requirement attributable to such ISC Upgrade Receivable and the obligation of the ISC Administrative Agent on behalf of the Purchasers to pay the ISC Conditional DPP relating to such ISC Upgrade Receivable.
Upgrade Program. Seller and Buyer shall undertake an --------------- upgrade program for a period of up to eighteen (18) months from the Closing Date for the current software load and other identified issues set forth on Schedule 8(l) ("Upgrade Obligations") for any mobile terminal (except for any mobile terminal in use pursuant to the CRST Agreement) in use by customers of the Business on the Closing Date (the "Fielded MTs"). The following entity shall be responsible for the task or obligation identified below with respect to the upgrade program for the Fielded MTs, which shall include sole responsibility for all costs and expenses incurred in connection with the completion of such task or obligation: Task/Obligation Responsibility --------------- -------------- Removal/Return Customer Shipping/Installation Shipping to Customer Buyer Configuration Buyer Repair Seller for Upgrade Obligations identified on Schedule 8(l), otherwise Buyer Buyer shall be responsible for any and all costs and expenses incurred in connection with the completion of the Removal/Return, Shipping/Installation task or obligation to the extent not paid by any customer. Seller shall have no obligation to upgrade any of the Customer Returned Goods except those which constitute Upgraded Customer Returned Goods as provided in Section 8(l)(ii).

Related to Upgrade Program

  • System Upgrade Facilities Transmission Owner shall design, procure, construct, install, and own the System Upgrade Facilities described in Appendix A hereto. The responsibility of the Developer for costs related to System Upgrade Facilities shall be determined in accordance with the provisions of Attachment S to the NYISO OATT.

  • Software Upgrades Software Upgrades consist of new product releases which are issued periodically and may include new functionality, enhancements, and bug fixes. Software Upgrades are provided only for standard hardware platforms and operating systems supported by COMSPOC as described in the Documentation. Software Upgrades will apply only to unmodified Software and commercially released updated versions of the Software. You are responsible for making or arranging for updates to interfaces for nonstandard devices or custom applications. Software Upgrades are provided subject to the terms and conditions of the then current and applicable COMSPOC Software License Agreement, available on COMSPOC’s website at xxxx://xxx.xxxxxxx.xxx/sla or with the deliverable Software or upon request. All major product releases and maintenance releases will be made available and may be shipped directly to you, upon request by contacting your COMSPOC point of contact or xxxxxxx@xxxxxxx.xxx. You may upgrade to the latest product version at any time during the term of the Annual Support and Upgrades Agreement. If you opt not to renew the Annual Support and Upgrade Agreement, You have 60 days from the end of the Annual Support and Upgrades Agreement term to upgrade to the latest product version available prior to the end of the Annual Support and Upgrades Agreement term. If You request an upgrade beyond this 60-day period, You will be required to renew the Annual Support and Upgrades Agreement in order to upgrade to the latest product version.

  • System Upgrades The Connecting Transmission Owner shall procure, construct, install, and own the System Upgrade Facilities and System Deliverability Upgrades described in Attachment 6 of this Agreement. To the extent that design work is necessary in addition to that already accomplished in the Class Year Interconnection Facilities Study for the Interconnection Customer, the Connecting Transmission Owner shall perform or cause to be performed such work. If all the Parties agree, the Interconnection Customer may construct System Upgrade Facilities and System Deliverability Upgrades.

  • System Upgrade Facilities and System Deliverability Upgrades Connecting Transmission Owner shall design, procure, construct, install, and own the System Upgrade Facilities and System Deliverability Upgrades described in Appendix A hereto. The responsibility of the Developer for costs related to System Upgrade Facilities and System Deliverability Upgrades shall be determined in accordance with the provisions of Attachment S to the NYISO OATT.

  • Enhanced Extended Links (EELs) 5.3.1 EELs are combinations of Loops and Dedicated Transport as defined in this Attachment, together with any facilities, equipment, or functions necessary to combine those Network Elements. BellSouth shall provide <<customer_short_name>> with EELs where the underlying Network Element are available and are required to be provided pursuant to this Agreement and in all instances where the requesting carrier meets the eligibility requirements, if applicable.

  • Network Upgrades The Transmission Owner shall design, procure, construct, install, and own the Network Upgrades described in Attachment 6 of this Agreement. If the Transmission Owner and the Interconnection Customer agree, the Interconnection Customer may construct Network Upgrades that are located on land owned by the Interconnection Customer. Unless the Transmission Owner elects to pay for Network Upgrades, the actual cost of the Network Upgrades, including overheads, shall be borne initially by the Interconnection Customer.

  • Unbundled Loop Modifications (Line Conditioning 2.5.1 Line Conditioning is defined as routine network modification that BellSouth regularly undertakes to provide xDSL services to its own customers. This may include the removal of any device, from a copper Loop or copper Sub-loop that may diminish the capability of the Loop or Sub-loop to deliver high-speed switched wireline telecommunications capability, including xDSL service. Such devices include, but are not limited to, load coils, excessive bridged taps, low pass filters, and range extenders. Excessive bridged taps are bridged taps that serves no network design purpose and that are beyond the limits set according to industry standards and/or the XxxxXxxxx XX 00000.

  • Minimum Customer Support Requirements for TIPS Sales Vendor shall provide timely and commercially reasonable support for TIPS Sales or as agreed to in the applicable Supplemental Agreement.

  • Network Interface Device (NID) 2.7.1 The NID is defined as any means of interconnection of end-user customer premises wiring to BellSouth’s distribution plant, such as a cross-connect device used for that purpose. The NID is a single-line termination device or that portion of a multiple-line termination device required to terminate a single line or circuit at the premises. The NID features two independent xxxxxxxx or divisions that separate the service provider’s network from the end user’s customer-premises wiring. Each chamber or division contains the appropriate connection points or posts to which the service provider and the end user each make their connections. The NID provides a protective ground connection and is capable of terminating cables such as twisted pair cable.

  • OGS Centralized Contract Modifications OGS, an Authorized User, or the Contractor may suggest modifications to the Centralized Contract or its Appendices. Except as specifically provided herein, modifications to the terms and conditions set forth herein may only be made with mutual written agreement of the Parties. Modifications may take the form of an update or an amendment. “
