Customers of the Business. During the Restricted Period, Seller, its employees, officers, directors, the Principal Owners, and their respective Affiliates shall not (i) persuade or attempt to persuade any customer, prospective customer, client, prospective client, supplier or vendor of Hand MD or any of its Affiliates not to hire or do business with Hand MD or any of its Affiliates or any successor thereto; (ii) solicit for himself or any Person other than Hand MD or any of its Affiliates, the business of any Person who is a customer, client, supplier or vendor of Hand MD or any of its Affiliates, or was its customer or supplier within two (2) years prior to the time of such solicitation to the extent that such business is similar to the business conducted by such customer or supplier with Hand MD.

Customers of the Business. During the Restricted Period, the Restricted Party shall not, directly or indirectly, persuade or attempt to persuade any customer or supplier or prospective customer or supplier of the Purchaser (or any of their respective Affiliates) not to hire or do business with the Purchaser (or any of its Affiliates) or any successor thereto.

For the avoidance of doubt, this clause shall not prevent the Seller or the Principal Owners from conducting such advertising or marketing for a business that does not compete with the Business nor shall it prevent a previous customer, client, supplier or vendor of the Business from initiating contact with and utilizing the services of any business which is operated by the Seller or the Principal Owners which does not compete with the Business.

Customers of the Business. From and after Closing, Seller will cooperate with and assist Buyer in effecting, to the fullest extent practicable, the orderly transfer of all customers of the Business to Buyer on a timely and efficient basis.

Customers of the Business. Set forth on Disclosure Schedule 3.21 is a true, complete and correct list of the 10 largest customers of the Business by volume of sales for the fiscal year ended September 30, 2007. Except as set forth on Disclosure Schedule 3.21, neither the Transferred Subsidiaries nor ESCO have: (i) received any written notice from any customer of the Business to the effect that any such customer will stop, or decrease the rate of, buying materials, products or services from the Business; or (ii) to ESCO’s Knowledge, received any oral notice of (i) above.

To the Knowledge of Seller,(a) Section 3.21(a) of the Seller Disclosure Schedule sets forth as of March 31, 2021, for the relevant markets specified therein, a good faith estimate of the approximate number of total residential and commercial subscribers of the Business and (b) Section 3.21(b) of the Seller Disclosure Schedule sets forth a good faith estimate of the aggregate Capital Expenditures made by Seller and the Seller Subsidiaries between January 1, 2021 and March 31, 2021.
Customers of the Business. Except as set forth in Schedule 3.9, to the Best Knowledge of Seller, Seller has not received, since October 31, 1996, written notice from any customer of the Business accounting for at least ten percent of the aggregate annual sales revenue of the Business, that such customer will not continue to be a customer of the Business.
