Termination of Compensation and Benefits. Except as expressly provided in this Article, on and after the termination of Employee’s duties under this Agreement, all salary and other compensation and benefits of any kind shall cease, except as required by law (for example, the Employee will be eligible for COBRA continuation in accordance with applicable law).
Termination of Compensation and Benefits. The foregoing compensation, benefits, and other arrangements described in this Section 2 shall cease when Officer is no longer employed by Employer for any reason or upon termination of this Agreement.
Termination of Compensation and Benefits a) You acknowledge and agree that all of your compensation and employment-related benefits ended on the Separation Date or the last day of the month in which your employment ended, depending upon the benefit. You have or will receive additional information regarding the date on which each benefit ended as well as your rights to insurance continuation (at your expense) and your retirement benefits. To the extent that you have such rights, nothing in this Agreement will impair them.

Except as required by law or as provided in SECTION 4.2 hereof, Executive shall not be entitled to the continuation of the Base Salary under SECTION 3.1, Bonus under SECTION 3.2, fringe benefits under SECTION 3.3 hereof or expense reimbursement (unless incurred in the ordinary course of business prior to termination) under SECTION 3.4 hereof, after termination of his employment hereunder.

The compensation and benefits described in Section 4 of this Release Agreement will cease and no further compensation and benefits will be provided to Rotherham under this Release Agreement if (a) Rotherham violates his obligations under Section 5 of the Termination Agreement or any of the post-employment obligations under Sections 6 and 7 of the Employment Agreement (except Section 6.2 of the Employment Agreement, which is superseded by Sections 5(b), 5(c), and 5(d) of the Termination Agreement), or (b) RSM agrees to waive any of such obligations pursuant to and in accordance with Section 5(g) of the Termination Agreement.

Executive agrees that the payments and benefits provided hereunder exceed any payments or benefits to which Executive is otherwise entitled under any policy, plan, practice, procedure, or prior agreement with the Company, and the payments and benefits provided hereunder are in full discharge of any and all of the Company’s obligations to Executive. Except as expressly provided in this Agreement, Executive’s entitlement to, participation in, and accrual of, all compensation and benefits from the Company shall cease as of the Effective Date.
Termination of Compensation and Benefits. Employer will discontinue Executive’s current compensation and benefits effective on the Separation Date, except as otherwise provided in Section 2 of this Agreement.

The compensation and benefits described in Section 4 of the Termination Agreement will cease and no further compensation and benefits will be provided to Xxxxxxxx under this Release Agreement if Xxxxxxxx knowingly violates any of his obligations under Sections 2 and 6 of the Termination Agreement. If Xxxxxxxx unknowingly violates any of his obligations under Sections 2 and 6 of the Termination Agreement, Xxxxxxxx agrees to take such actions as are necessary to correct the violation(s) once he is made aware of the violation(s).
